Role Overview We are seeking a Legal Associate to support the legal, regulatory, and documentation requirements of Aarii Ventures, including AIF-related compliances, fund-raising documentation, and ongoing legal support for investments and portfolio companies. The role will involve close coordination with senior management, external legal counsel, compliance advisors, fund administrators, and regulators, and will play a critical role in ensuring regulatory adherence and documentation integrity across the investment lifecycle. Key Responsibilities AIF & Regulatory Compliance • Assist in structuring and documentation for the proposed Category III AIF, including coordination with legal advisors on: Private Placement Memorandum (PPM) Trust Deed / LLP Deed / Investment Management Agreement Contribution Agreements and side letters • Support ongoing SEBI AIF compliance requirements, including: Periodic filings, disclosures, and reporting Compliance checklists and internal control documentation Liaison with compliance officers, trustees, and fund administrators Fund Raising & Investor Documentation • Draft, review, and manage fund-raising documentation, including: Term sheets Investor onboarding documents Subscription agreements and disclosures • Support LP negotiations and documentation of commercial terms, where required • Maintain structured records of investor communications and compliance-related correspondence Investment & Transaction Support • Provide legal support for listed and unlisted investments, including: o Share subscription agreements o Share purchase agreements o Shareholders’ agreements • Assist in legal due diligence for private and pre-IPO investments • Coordinate with external counsels on transaction execution and closing Portfolio Company & Corporate Legal Support • Support portfolio companies on routine corporate legal matters, including: Board resolutions, shareholder approvals, and filings Contract drafting and review Corporate governance documentation • Track key contractual obligations and compliance timelines Internal Legal & Governance • Maintain internal legal documentation repositories and trackers • Support development of internal policies, SOPs, and governance frameworks • Monitor regulatory updates relevant to AIFs, securities laws, and corporate law and highlight implications to management Candidate Profile • Law graduate (LLB / BA LLB / BBA LLB) from a recognized institution • 3–5 years of experience in investment funds, AIFs, law firms, PMS, or financial services • Working knowledge of SEBI AIF Regulations, Companies Act, and securities laws • Experience in drafting and reviewing fund and investment documentation • Strong attention to detail, execution discipline, and stakeholder management skills If interested, Kindly share your resume on
