Together, the elluminate platform and digital data services give clients self-service access to all their data from one centralized location plus advanced analytics that help them make smarter, faster business decisions. OVERVIEWThe Corporate Counsel, India will report to the eCS US Chief Legal Officer with a dotted line to Head of Corporate Services for eCS India to assist on all aspects of legal and compliance operations of the business with a primary focus on drafting, reviewing, negotiating, and administrating contractual documents that establish business relationships with vendors, customers, employees, and partners.  This position will work across the business partnering with all functional areas as well as external legal counsel and partners, and requires expertise to structure and negotiate contracts, as well as analyses contracts to ensure compliance with company policy, government specifications and other requirements.In addition, this position will support all aspects of eCS US legal needs and work closely with eCS legal team members located in the US on US and certain EU and other global corporate law matters.KEY TASKS & RESPONSIBILITIESOverall responsibility for reviewing the terms and conditions of all contractsDraft, edit, standardize, and participate in the negotiation of contracts, and proactively handle various transactional matters through to final signature including but not limited to NDAs, MSAs, SOWs, independent contractor agreements, etc., with an emphasis on technology licensing, SaaS and professional servicesContact for all functional areas and external partners to ensure all corporate legal matters are addressed efficiently and promptlyDevelop, implement, and enforce contract management software system for the request, prioritization, drafting, review, editing, execution, filing, reporting and compliance of contractsTrain and educate others on various legal and compliance matters affecting the business, such as data privacy and securityMake decisions within area of influence/responsibility, exercising independent judgment in consult with the CLO and viewed as an interdepartmental resourceResearch novel legal issuesMaintenance and coordination of certain corporate recordsAssists on all other Indian and US company related matters as needed, including HR, IP, data privacy and security, AI, risk management, and many others.Education & ExperienceL.L.B. from a premier college/university having 4 – 9 years of experience preferably as in-house counselBiotech, pharmaceutical, life science, software technology and licensing experience is highly preferredExperience in all corporate law matters (contract, employment, intellectual property, data privacy, risk and compliance, etc.) for Indian, US and various EU/global jurisdictionsFamiliarity with Indian state, federal and international data privacy and security regulationsOutstanding interpersonal skills and ability to communicate at all levels of organizationDemonstrates ability to take initiative beyond direct responsibilitiesMust have excellent communication and writing skillsExperience redlining and negotiating contractsMust have discretion and maintain confidentialityDemonstrates professional and positive demeanor and is perceived as highly competentAbility to complete high volume of work in a timely and thorough manner with minimal reworkAbility to work well as part of a team and independentlyMust be well-organized, highly detail-oriented, and able to manage numerous projects and conflicting demands in a fast-paced environmentHigh proficiency with computer systems and programs such as Microsoft Office, Adobe/Adobe Sign, CobbleStone Contract Insight contract management software, Thomson Reuters Practical Law and CoCounsel AI, legal research tools, etc.Accelerate your skills and career within a fast-growing company while impacting the future of healthcare.
