Role Overview:
As a Lawyer in the Capital Markets team, you will be responsible for advising on a range of equity and debt capital markets transactions, with a focus on IPOs, QIPs, rights issues, INVITs, and bond offerings. The ideal candidate will bring strong drafting skills, regulatory knowledge (SEBI, ICDR, LODR), and experience in managing high-pressure deal environments.
Key Responsibilities:
- Drafting and reviewing offer documents (DRHP, RHP, PPMs, term sheets, etc.) for equity and debt offerings.
- Advising clients on SEBI, RBI, FEMA, Companies Act, and other regulatory frameworks governing capital markets in India.
- Coordinating with regulators including SEBI, stock exchanges, and depositories.
- Liaising with clients, investment banks, auditors, and other stakeholders in transaction execution.
- Conducting legal due diligence and assisting in disclosures and compliance.
- Supporting senior partners in business development, client meetings, and knowledge management.
- Keeping abreast of regulatory updates and case law relevant to securities law and corporate finance.
Desired Candidate Profile:
- LL.B. from a top-tier law school in India or abroad.
- 2–5 years of post-qualification experience in capital markets at a leading law firm or in-house legal team.
- Strong understanding of SEBI regulations (ICDR, LODR, ILDS, etc.), Companies Act, and other relevant statutes.
- Experience with equity and/or debt capital markets transactions (IPO, QIP, rights issue, NCDs, etc.) is essential.
- Excellent drafting, analytical, and communication skills.
- Ability to work in a fast-paced, team-oriented environment with strict timelines.
- Proactive, detail-oriented, and commercially aware.
