Job Description - Candidate with LLB + CS qualification from Mumbai or ready to relocate - Candidate with 15 to 20 years of experience should Apply Job Description - IPO Activities:-Preparation and Planning: Assist in the preparation of the company for the IPO process, including due diligence and compliance checks. - Coordinate with investment bankers, auditors, and legal advisor to ensure all IPO requirements are met. - Documentation: Oversee the drafting and filing of the prospectus and other necessary documents with regulatory authorities. Ensure all disclosures and financial statements are accurate and comply with regulatory standards. - Legal Advisory: - Provide legal advice on corporate, commercial, and regulatory matters. - Draft, review, and negotiate contracts, agreements, and other legal documents. - Manage litigation and liaise with external legal counsel. - Regulatory Compliance: - Ensure compliance with the Companies Act and other relevant legislation. - Maintain statutory books, including registers of members, directors, and secretaries. - File necessary documents with regulatory authorities. - Corporate Governance: - Ensure compliance with corporate laws, regulations, and guidelines. - Advise the board of directors on governance best practices. - Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs). - Stakeholder Communication - Act as a point of contact for shareholders and ensure effective communication. - Handle shareholder queries and manage investor relations. - Investor Relations: - Develop and implement an investor relations strategy to communicate effectively with potential investors. - Organize roadshows, presentations, and meetings with potential investors and analysts. - Post-IPO Compliance: - Ensure ongoing compliance with listing requirements and continuous disclosure obligations. - Manage shareholder communications and maintain investor relations post-IPO. The Successful Applicant A successful Lead Legal and CS should have: - A recognised degree in Law (LLB) and membership in the Institute of Company Secretaries of India (ICSI). - Ensuring the company complies with statutory and regulatory requirements, providing legal advice, managing corporate governance, and overseeing activities related to an Initial Public Offering (IPO).
