Experience working withUS/UK clients, international contracts, and cross-border matters is highly preferred. Key Responsibilities - Provide legal advice oncorporate, commercial, and transactional matters - Handlecapital raising,SAFE notes,convertible notes,shareholder agreements,ESOPs, andcorporate governance - Draft, review, and negotiatecommercial contracts,technology agreements,services agreements, andstrategic partnerships - SupportM&A transactions,due diligence,corporate restructures, andjoint ventures - Ensure compliance withAustralian corporate law,Corporations Act 2001 (Cth), and regulatory requirements - Manage mattersend-to-end, taking full ownership and driving timelines - Communicate proactively with clients and internal teams, providing clear legal analysis - Identifyprocess improvements, efficiencies, and best practices - Work within aremote-first, high-performance legal environment using modern tools RequirementsEssential: - 5+ years PQEin corporate commercial law - Strong expertise inAustralian corporate law, corporations law, and commercial contracting - Experience withcapital raising,convertible instruments,venture documentation,ESOP structuring, andshareholder documentation - Ability to run mattersindependentlywith minimal supervision - Excellent written and verbal communication with aclient-focused mindset - Strong commercial judgment and ability to assesslegal risk vs ROI - Tech-savvy; comfortable withSlack, Google Workspace, Microsoft 365, Notion, and legal tech tools - Reliable high-speed internet - Experience working withUS/UK clientsand international stakeholders - Ability to workUK business hours Nice to Have: - Experience running your ownlaw practiceor working independently - Background intop-tieror well-regardedAustralian/US/UK firms - Experience withstartups,scale-ups, orventure capital - Knowledge ofstartup financing,VC structures, andinnovation ecosystems What's Offered - 100%remote workaligned withUK working hours - High autonomy, ownership, and responsibility - Exposure tosophisticated corporate and commercial matters - Modern,AI-enabled, tech-savvy legal environment with no bureaucracy - Competitive compensation with potentialperformance incentives - Long-termcareer growthand increased responsibility
