MUFG Global Service Private Limited: Established in 2020, MUFG Global Service Private Limited (MGS) is 100% subsidiary of MUFG having offices in Bengaluru and Mumbai. MGS India has been set up as a Global Capability Centre / Centre of Excellence to provide support services across various functions such as IT, KYC/ AML, Credit, Operations etc. to MUFG Bank offices globally. MGS India has plans to significantly ramp-up its growth over the next 18-24 months while servicing MUFG's global network across Americas, EMEA and Asia Pacific. - Provide legal support and advice to management on relevant legal issues - Provie legal support and advice to business and support functions for various day to day operational matters - Drafting, Reviewing and vetting of various contractual documents, like Inter Affiliate Agreement (IAA), Vendor Contracts, SOWs, Addendums, NDA etc. - Draft and continually review various standard templates of contracts, NDA to ensure compliance with local regulations as well as company standard templates - Ensure compliance with the internal controls, statutory regulations and other formalities - Handle litigation, as and when required. - Act as a Subject Matter Expert (SME) to the Board, CEO and other senior business leaders, providing legal, financial and strategic advice. - Keep up with current changes on all relevant areas of laws and contributing to the enhancement of the knowledge base of the company's legal function - To assist Company Secretary of MES India in various corporate secretarial activities (both periodic and event based); - Assist the Company Secretary to conduct, convene and record meetings of the Board of Directors, EXCO, Management Committees etc in close coordination with internal stakeholders. - To maintain and update statutory records and ensure all statutory filings are completed within timelines. - Liaise with external consultants such as lawyers, auditors and CS retainer. - Work collaboratively across functional teams within the Company to ensure effective and efficient operations. - Engage and collaborate with the teams for ensuring improved understanding of the requirements and promote better adherence and enhanced risk control over the guideline Job Requirements: - Bachelor's Degree and Membership of ICSI, India is a must. Preferable to have LLB, CA, CWA, CFA and other professional qualifications - Minimum of 6 to 10 years of work experience, preferably in MNC organizations involved in Financial Services or IT/ITES business; - Knowledge and experience in using AI for simplifying CS and Legal processes - Process oriented coupled with a strong ability to develop appropriate program enhancing strategies. - Detail-oriented and organized execution. - Good organizational, prioritization and time-management skills - Excellent communication, presentation and interpersonal skills. Expertise in Microsoft Office Suite (i.e. Excel, Access, PowerPoint and Word. - Proactive and enthusiastic to take up new challenges and tasks
