About Business Line/Function The jobholder will be a part of the ISPL CAO Functions team with a global mission to monitor and foster performance at group & division level. The role will require the candidate to act as business partner for business divisions and business lines and support the business strategic steering. The candidate will produce performance management reports with various indicators to support analysis and steering of third-party outsourcing risk performance. Job Title Term Sheet Operations Date 3 Department CAO Location: Mumbai Business Line / Function Outsourcing Coordination Dashboarding Reports To (Direct) Head of Department Grade (if applicable) AVP (Functional) Number Of Direct Reports NA Directorship / Registration NA Position Purpose Head of BackOffice Operations TermSheet Management is responsible for the endtoend governance, creation, maintenance, and control of all termsheets that underpin the financing, and commercial arrangements. The role ensures that termsheets are accurate, compliant with internal policies, regulatory requirements, and tax documentation standards, and that they are effectively communicated to all relevant stakeholders (Finance, Treasury, Tax, Legal, Business Units). In addition, the leader will develop a highperforming backoffice team, drive process efficiency. Key Responsibilities Area Responsibilities TermSheet Governance - Create, review, and standardize termsheet templates (pricing, payment terms, servicelevel agreements, etc.). - Maintain a central, versioncontrolled repository of all active and historic termsheets. - Ensure each termsheet is signed off by appropriate business owners, Finance, Tax, and Legal signatories. - Conduct periodic (quarterlyannual) reviews to confirm that termsheets remain aligned with the Group's TransferPricing policy, regulatory changes, and internal controls. Process Management & Automation - Design and continuously improve the endtoend workflow for termsheet creation, approval, storage, and amendment (including automated routing and electronic signatures). - Identify opportunities for RPA or ERP enhancements that reduce manual effort and increase data integrity. - Define and monitor key performance indicators (KPIs) for processing time, error rates, and compliance coverage. Reporting & Analytics - Produce regular reporting for senior management on termsheet status, outstanding approvals, policy exceptions, and financial impact (cashflow, net interest expense, etc.). - Provide adhoc analyses for strategic projects (e.g., restructuring, M&A, new financing arrangements). Team Leadership - Lead a team of backoffice specialists / analysts (size varies by region), setting clear objectives, coaching, and developing career paths. - Foster a collaborative culture with stakeholders in Treasury, Tax, Legal, Business Units, and IT. - Ensure team adheres to servicelevel agreements (SLAs) and delivers highquality work. Stakeholder Management - Act as the primary point of contact for termsheet queries and escalations. - Champion bestpractice communication between finance, legal, and operational teams to align expectations and timelines. Continuous Improvement - Benchmark against industry standards and best practices; embed lessons learned from audits, control testing, and regulatory reviews. - Champion a culture of continuous improvement, encouraging innovative solutions and knowledge sharing. Required Skills & Competencies Competency Required Level Leadership & People Management Proven experience leading multidisciplinary teams in a matrix environment. Contract / TermSheet Expertise Deep understanding of commercial and financing termsheet structures, pricing mechanisms, and related documentation. Financial & Tax Acumen Strong knowledge of intercompany accounting, transferpricing principles, and crossborder tax considerations. Process Design & Automation Experience designing endtoend workflows, implementing ERP or RPA solutions (SAP, Oracle, PowerAutomate, UiPath). Analytical & ProblemSolving Ability to analyze complex financial data, identify discrepancies, and propose corrective actions. Stakeholder Influence Excellent communication, negotiation, and influencing skills with senior business partners and external auditors. Technology Proficiency Advanced Excel, PowerBI/Tableau for reporting; comfortable with documentmanagement systems (SharePoint, Confluence). Attention to Detail High degree of accuracy in data handling and documentation. Education & Experience - Education: Bachelor's degree in Finance, Accounting, Business Administration, Law, or related field (mandatory). A Master's degree (MBA, MSc Finance) is preferred. - Experience: Minimum 12years of relevant experience, with at least 5years in termsheet or contract management, intercompany finance, or treasury operations; 3+years in a senior leadership role. - Industry Exposure: Experience within a multinational corporation, especially in banking, corporate & institutional banking, or other highly regulated sectors. - Language : Fluency in English (both written and spoken) required; additional language(s) relevant to operating regions are an asset.
