Responsibilities:
Compliance Management: Ensure compliance with statutory and regulatory
requirements, including but not limited to Companies Act, SEBI regulations,
FEMA, and other applicable laws.
Board and Shareholders Meetings: Organise and conduct board meetings,
general meetings, and committee meetings. Prepare agendas, draft
resolutions, and minutes of meetings in compliance with legal and procedural
requirements.
Secretarial Functions: Undertake secretarial functions such as maintaining
statutory registers, filings with regulatory authorities, and ensuring timely
submission of required documents and forms.
Corporate Governance: Implement and oversee corporate governance
practices to ensure transparency, accountability, and ethical conduct across
the organisation.
Legal Compliance: Stay updated on changes in relevant laws and regulations
and advise management on legal implications. Assist in drafting and reviewing
legal documents, contracts, and agreements.
Annual Compliance Calendar: Develop and maintain an annual compliance
calendar to track deadlines for statutory filings, disclosures, and other
compliance obligations.
Liaison: Act as a liaison between the company, regulatory authorities, and
external stakeholders. Respond to queries and requests from regulatory
bodies and ensure timely and accurate communication.
Advisory Support: Provide advisory support to management on corporate
governance, regulatory compliance, and legal matters. Offer insights and
recommendations to enhance compliance practices and mitigate risks.
Training and Awareness: Conduct training sessions and awareness programs
for employees on compliance-related matters to foster a culture of compliance
and integrity within the organisation.
Requirements:
Company Secretary with a minimum of 1 year of relevant experience.
Sound knowledge of corporate laws, regulations, and governance practices.
Strong organisational and multitasking abilities with attention to detail.
Excellent communication and interpersonal skills.
Proficiency in MS Office Suite and familiarity with relevant software
applications.
Ability to work independently and collaboratively in a fast-paced environment.
Proactive approach to problem-solving and decision-making.
