Job Description Position :Secretarial Assistant Preferred candidate profile:- Be a team leader, guiding the secretarial team on day-to-day functions, keen to learn, can-do attitude, confidence to take ownership of the assigned tasks, ability to handle multiple tasks, and excellent communication skills both oral and written. To provide accurate and timely Management Information. Secretarial- to cover all aspects of Secretarial Work not limited to the following: ؠPrepare and file forms, returns, and applications with Govt. Authorities like the Ministry of Corporate Affairs, Ministry of Industry and Commerce Reserve Bank of India, Financial Intelligence Unit, etc., Prepare and File various e-forms on the MCA portal ؠWell conversant with MCA-21, i.e. online filing, online inspection. ؠTo Arrange the documents required from the Secretarial department for other departments such as Marketing, Finance, etc.,& Maintenance and update of statutory Registers and Records. ؠReorganization of company like change in authorized capital, change of name, Shifting of Registered Office of the Company from one state to another and alteration in MOA & AOA. ؠPreparation of Director's Report and Annual Return, Filing of Balance Sheet and Profit & Loss Account in XBRL. ؠIncorporation of Companies, Formation of Firm. ؠHandling of various Company matters Issue, Allotment, Transfer, Transmission and Transposition of Shares, Issue of Share Certificates and Duplicate Share Certificates (including Preferential allotment and Right Issue) and declaration of Dividend and Creation and Modification of Charges. ؠTo Assist in the preparation of the annual report of the company. ؠTo ensure all the timely compliances of Companies Act, 2013 and rules; compliance under SEBI listing regulations, and RBI norms. ؠInter-departmental - legal, Finance, Accounts, Tax, etc., and providing necessary information. Ensure all compliance includes filing the forms. ؠPreparation of Annual Reports, Notice, agenda, Directors reports, and documents related to Directors like declaration u/s 274 (1)(g) and ensuring compilation and regular update of all statutory records. ؠKeeping updated on recent modifications/amendments in Company Law, rules & regulations. Legal Work ؠTo Assist in Drafting of Various types of Agreements & Deeds. ؠCoordinate with Legal Consultants for Legal Due Diligence (land related) of Land-Owning Companies. ؠTo Coordinate with the Advocates in drafting, amendment of Development Management, Joint Development, Joint Venture Agreements ؠTo take Lead in finalization of various Term Sheet and Agreement with prospective clients. ؠDealing with RBI and other Government Authorities Key Skills:- - Good verbal and written communication skills. - Commercial awareness. - Meticulous attention to detail and the ability to work well under pressure. - Ensure timely arrangement of Meetings of the Board or its Committees and Shareholders and preparing agenda & minutes thereof. - Excellent organization and time management. - An ability to take initiative. - A flexible and practical approach to work. - Discretion when handling confidential information - Excellent Communication & Presentation Skills. - Discretion when handling confidential information - Good Knowledge of Accounts, Finance, and Law
