
Analyst - Secretarial

Job Description
Key Responsibilities:
- Documentation & Compliance:
- Draft secretarial documents in line with Secretariat processes for all group entities.
- Perform maker-checker activities to ensure accuracy in secretarial compliance and regulatory filings.
- Prepare and file Annual Returns, PSC (Persons with Significant Control), and RBO (Register of Beneficial Owners) filings.
- Handle UK and Irish secretarial compliance, including Stamp Duty Relief and internal SPAs.
- Global Entity Oversight:
- Monitor and follow up on secretarial compliance with overseas local service providers across jurisdictions such as Cyprus, US, Poland, Switzerland, Germany, South Africa, India, Bulgaria, Hong Kong, Isle of Man, Dubai, and Libya.
- Maintain up-to-date statutory records and perform entity-level health checks and due diligence for internal projects (SPA, BTA, disposals, etc.).
- Operational Excellence:
- Track all Secretariat Team tasks, update status trackers, and ensure timely SLA-based closures.
- Cross-handle tasks and engage in multi-functional support to promote diverse skill-building.
- Address challenges proactively and provide timely updates and solutions to the team.
- Reporting & Communication:
- Prepare and circulate monthly secretarial updates, group structure charts, and compliance reports for the leadership team.
- Collaborate with cross-functional teams to support internal audits, statutory audits, and ad hoc project requests.
- Vendor Management:
- Create purchase orders (POs) and process payments for all secretarial consultants and vendors, ensuring compliance with internal procurement policies.
Qualifications:
Education:
- Qualified Company Secretary (CS) or pursuing CS (final level)
- Bachelor's degree in Commerce, Law, or equivalent (preferred)
Experience:
- 25 years of relevant experience in corporate secretarial practices, preferably in a multinational or consulting environment
- Familiarity with cross-border secretarial compliance and multi-jurisdictional legal requirements is a strong plus
Skills:
- Strong drafting and documentation skills
- High attention to detail and excellent organizational skills
- Proficiency in Microsoft Office (Excel, Word, PowerPoint)
- Working knowledge of entity management systems or legal databases is an advantage
- Ability to manage multiple priorities under tight deadlines
