The Company Secretary will be responsible for ensuring the company complies with statutory and regulatory requirements, particularly the Companies Act and SEBI regulations, and maintaining high standards of corporate governance. This role includes managing all necessary filings, supporting the board and senior management with legal and compliance matters, and handling annual financial filing work.

Key Responsibilities:
Legal Compliance:
Ensure compliance with all corporate laws and regulations, including the Companies Act, SEBI regulations, and other statutory requirements.

Maintain statutory books, including registers of members, directors, and secretaries.

Prepare and file necessary statutory returns and forms with regulatory authorities.

Monitor changes in relevant legislation and the regulatory environment and take appropriate action.

Board Support:
Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).

Take minutes, draft resolutions, and lodge required forms and annual returns with Companies House.

Provide legal, financial, and/or strategic advice during and outside of meetings.

Corporate Governance:
Ensure that the company complies with legal obligations and follows best practices in corporate governance.

Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.

Annual Financial Filings:
Handle annual financial filing work, ensuring timely and accurate filing of annual accounts, financial statements, and other mandatory reports.

Collaborate with the finance department to prepare and file necessary financial documents.

Ensure compliance with financial disclosure requirements and support the audit process.

Regulatory Filings and Disclosures:
Oversee the filing of necessary regulatory reports and disclosures.

Ensure timely and accurate submission of reports to SEBI, MCA, and other regulatory bodies.

Liaise with external regulators and advisers such as lawyers and auditors.

Shareholder Relations:
Manage the company's share register and ensure effective communication with shareholders.

Handle shareholder queries and manage issues relating to shareholding and dividends.

Documentation and Record Keeping:
Maintain accurate and up-to-date records of all company documentation.

Ensure that the company’s documentation and records are kept in a secure and organized manner.

Advisory Role:
Provide support to the board and senior management on compliance and governance matters.

Advise on legal implications of company activities and ensure that the company operates within the law at all times.

Qualifications:
Qualified Company Secretary (CS) with membership in the Institute of Company Secretaries of India (ICSI).

Minimum of 2-3 years of experience in a similar role, preferably in a corporate environment.

In-depth knowledge of corporate laws, SEBI regulations, and statutory requirements.

Experience in handling annual financial filings and regulatory compliance.

Excellent organizational and multitasking abilities.

Strong communication and interpersonal skills.

High level of integrity, professionalism, and attention to detail.

The Accounts Executive will support the Accounts Head in managing the day-to-day accounting operations and ensuring compliance with financial regulations. This role involves maintaining financial records, assisting in preparing financial reports, ensuring compliance with statutory regulations, and supporting the accounting requirements for issued and listed Non-Convertible Debentures (NCDs).

Key Responsibilities:
Accounting Operations:
Assist in maintaining the general ledger, accounts payable, accounts receivable, payroll, and fixed assets.

Ensure accurate and timely data entry and processing of financial transactions.

Support month-end, quarter-end, and year-end close processes.

Reconcile bank statements and ensure accuracy in financial records.

Financial Reporting:
Assist in preparing monthly, quarterly, and annual financial reports.

Help analyze financial data and provide insights to support business decisions.

Ensure compliance with financial reporting requirements and regulations.

Compliance and Audit:
Support compliance with statutory and regulatory requirements, including tax filings, GST, SEBI, MCA, and other local laws.

Assist in liaising with external auditors and preparing audit schedules.

Help implement and maintain internal controls to safeguard the company's assets.

NCD Management Support:
Assist in accounting and compliance requirements for issued and listed Non-Convertible Debentures (NCDs).
