**Job Title: Corporate Secretary**

**Job Summary**:
**Responsibilities**:

- **Board Support**:

- Coordinate board meetings, including scheduling, agenda preparation, and distribution of materials.
- Attend board meetings, record minutes, and maintain accurate records of proceedings.
- Assist in the development and maintenance of corporate governance policies and procedures.
- **Compliance Management**:

- Monitor and ensure compliance with corporate governance regulations and requirements.
- Prepare and file required regulatory documents, such as annual reports, with relevant authorities.
- Maintain corporate records, including articles of incorporation, bylaws, and shareholder agreements.
- **Communication and Documentation**:

- Serve as a liaison between the board, executive team, and external stakeholders.
- Draft and distribute correspondence, resolutions, and other official communications on behalf of the board.
- Maintain an organized filing system for corporate documents, contracts, and legal records.
- **Risk Management**:

- Identify potential risks related to corporate governance and compliance issues.
- Assist in the development of risk mitigation strategies and policies.
- Monitor changes in regulatory requirements and recommend adjustments to corporate governance practices as needed.
- **Meeting Coordination and Support**:

- Arrange and coordinate meetings, conferences, and other corporate events as required.
- Prepare meeting agendas, presentations, and supporting materials.
- Assist in the preparation of meeting minutes, action items, and follow-up tasks.
- **Executive Support**:

- Provide administrative support to the executive team as needed.
- Manage calendars, travel arrangements, and expense reports for senior executives.
- Handle confidential information with discretion and professionalism.

**Requirements**:

- Bachelor's degree in business administration, law, or a related field. Additional certifications in corporate governance or paralegal studies are a plus.
- Proven experience as a corporate secretary, executive assistant, or similar role in a corporate environment.
- Strong knowledge of corporate governance principles, regulations, and best practices.
- Excellent organizational skills and attention to detail.
- Exceptional written and verbal communication abilities.
- Proficiency in Microsoft Office Suite and corporate governance software.
- Ability to work independently, prioritize tasks, and meet deadlines in a fast-paced environment.
- Discretion and professionalism when handling sensitive information.
- Strong interpersonal skills and the ability to build positive relationships with internal and external stakeholders.

**Salary**: ₹40,000.00 - ₹75,000.00 per month
