**Key Responsibilities**:

- **Corporate Governance**:

- Manage all aspects of corporate governance, including but not limited to, organizing board meetings, preparing agendas, drafting minutes, and maintaining corporate records.
- Ensure compliance with statutory and regulatory requirements, including company law, listing regulations, and corporate governance guidelines.
- Provide guidance to the board of directors and senior management on corporate governance best practices and emerging trends.
- **IPO Roadmap**:

- Develop and implement a roadmap for IPO readiness.
- **Legal Compliance**:

- Develop, implement, and monitor compliance programs to ensure adherence to applicable laws, regulations, and internal policies.
- Conduct regular compliance audits and risk assessments to identify areas of non-compliance and implement corrective actions.
- Stay abreast of changes in laws and regulations and advise management on implications of any changes for the business.
- **Contract Management**:

- Review, draft, and negotiate a wide range of contracts and agreements, including but not limited to commercial contracts, vendor agreements, and employment contracts.
- Ensure that contractual terms and conditions are in compliance with legal requirements and company policies.
- **Litigation Management**:

- Develop a network of legal representatives for Drishti Group to manage legal disputes for and against Drishti group.
- Liaise with external legal counsel as needed.
- Develop strategies to minimize legal risks and resolve disputes in a timely and cost-effective manner.
- **Policy Development**:

- Develop and implement company policies and procedures to ensure legal compliance and risk mitigation.
- Provide training and guidance to employees on legal and compliance matters to foster a culture of ethics and integrity.
- **Others**:

- Liaise with Government Authorities and Police as necessary.
- Perform other duties as directed by the CFO or MD.

**Qualifications and Skills**:

- The person should have a degree of Company Secretary form ICSI and Bachelor’s degree in law from a recognized institution. Additional qualifications / certification would be an advantage.
- 7- 10 years of experience in corporate governance, legal compliance, and contract management, preferably in a Service industry.
- Strong knowledge of corporate law, securities regulations, and corporate governance principles.
- Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels.
- Proven ability to analyse complex legal issues, exercise sound judgment, and provide practical legal advice.
- Ability to work independently, prioritize tasks, and meet tight deadlines in a dynamic environment.
- Proficiency in MS Office suite and legal research tools.
- Experience with at least one IPO lifecycle is preferred but not mandatory.
