**Designation : Company Secretory /Compliance Officer **Location

to manage corporate governance, regulatory compliance, and ensure efficient administration across the organization.

**Experience-**At least **3-4 ye**ars in a similar role, preferably with listed companies.

**Role Description**

This is a full-time role based in Andheri West -Mumbai.

**Key Responsibilities**:
1**. Corporate Governance and Compliance**:

- Ensure compliance with the Companies Act, 2013, SEBI regulations, and other applicable laws.
- Oversee the company's compliance with the Listing Agreement.
- Liaise with regulatory authorities like SEBI, stock exchanges, and the Registrar of Companies.

2. **Board and Shareholder Management**:

- Organize and prepare board meetings, including drafting notices, agendas, and minutes.
- Facilitate communication between the board, management, shareholders, and stakeholders.
- Ensure timely resolutions and filing of statutory documents with regulatory authorities.

3. **Statutory Filings and Record Maintenance**:

- Prepare and file annual reports, financial statements, and other statutory documents with the Ministry of Corporate Affairs.
- Maintain statutory registers such as the Register of Members, Register of Charges, and Register of Directors.

4. **Secretarial Audits**:

- Conduct regular internal compliance audits to assess adherence to legal and regulatory requirements.
- Ensure that all necessary certificates and filings are completed on time.

5. **Risk Management and Compliance Monitoring**:

- Identify compliance risks and assist the board in implementing measures to manage them.
- Monitor regulatory changes and advise the company on necessary adjustments to remain compliant.

6. Investor Relations and Reporting:

- Handle investor grievances, queries, and communication.
- Prepare reports and disclosures required under SEBI regulations for quarterly and annual financial statements.
- Assist in organizing Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).

7. Support in Corporate Finance Activities:

- Assist in corporate restructuring, mergers, acquisitions, and other financial transactions.
- Oversee compliance for capital-related matters like raising funds, issuing shares, and conducting share buybacks.

**Qualifications**
- Knowledge of Companies Act and statutory regulations
- Strong understanding of corporate laws, SEBI regulations, and stock exchange requirements.
- Strong organizational and administrative skills
- Excellent communication and interpersonal abilities
- Proficiency in drafting, legal documentation, and compliance reporting
- Experience handling corporate governance matters
- Proficiency in MS Office and documentation
- Attention to detail and accuracy in record-keeping
- Ability to work effectively in a team environment
- Relevant qualification in Company Secretary ship or related field
- Financial Knowledge: Familiarity with accounting principles and financial statements.
- Technology: Proficiency with digital filing systems and compliance software.

Pay: ₹15,109.67 - ₹58,028.51 per month
