**Job Description**:
**Position**: Company Secretary

**Location**: Bangalore

**Report to**: CFO

**Company Secretary Roles & Responsibilities**:

- Managing all the secretarial and foreign direct investment filings with the Ministry of Corporate Affairs, the Reserve Bank of India and DPIIT;
- Liaising with and managing government, regulatory and/or quasi-judicial authorities such as Reserve Bank of India, Ministry of Corporate Affairs as and when required;
- Assisting with the incorporation and related compliances of Xiaomi entities;
- Maintenance and appropriate secretarial records including records and information of members of Board, directors of Board, shares and investors, statutory registers, accounts and other books
- Assisting in conducting various meetings like shareholder/board/committee meetings and in preparation of agenda and minutes of meetings of the board of directors, committees
- of directors, and shareholders, preparation of various reports like directors’ report, preparation of annual report, corporate governance report etc.
- Filing and timely submission of the company’s annual return within the defined statutory deadline and ensuring that correct procedures have been followed that would result in the correctness, authenticity and comprehensiveness of the reports
- Obtain approvals from the Board, the government and such other authorities as may be required by the corporate laws and acts
- Support and advise the Board in matters relating to functioning of organization by ensuring compliance with the corporate governance requirements and best practices
- Report to the Board about the conformity with the regulatory provisions as applicable to the organization
- Assist in carrying out due diligence exercise for corporate actions
- Stay up-to-date on developments and trends in the industry and make sure that professional knowledge is updated and relevant.

**Skills and Qualifications**:

- Qualified Company Secretary with a valid certificate of practice.
- 5 - 8 years of experience.
- Preferred experience in managing compliances in multinational companies.
- Analyse, strategize & provide solutions to the Board on matters pertaining to corporate regulation and efficient governance
- Preferably has experience with managing compliances under the FEMA and RBI guidelines.
- Ability to work independently with mínimal supervision.
- Ability to work efficiently and proactively on multiple projects under tight deadlines while maintaining a commitment to quality.
- Strong verbal and analytical skills, exceptional interpersonal skills, cross-cultural skills and highly team-oriented.
