**Job Title**: Company Secretary (Investments Sector)

**Job Location**: Chennai, India

We are currently seeking a seasoned and qualified Company Secretary to join our team in Chennai, specializing in the Investments sector. As a Company Secretary, you will play a critical role in ensuring compliance with statutory and regulatory requirements, facilitating corporate governance, and providing strategic advice on legal and regulatory matters related to investments.

**Key Responsibilities**:

- **Corporate Governance**: Act as the primary point of contact for the Board of Directors and senior management on governance matters, ensuring compliance with applicable laws, regulations, and best practices.
- **Board Support**: Organize and facilitate board meetings, prepare agendas, draft minutes, and maintain accurate records of proceedings in accordance with regulatory requirements.
- **Regulatory Compliance**: Stay abreast of changes in legislation, regulations, and industry standards relevant to the Investments sector, ensuring the company's adherence to all statutory and regulatory obligations.
- **Company Law Compliance**: Oversee compliance with company law requirements, including the filing of statutory returns, maintenance of statutory registers, and handling of shareholder communications.
- **Investor Relations**: Manage communication with shareholders, investors, and regulatory authorities, ensuring transparency and accuracy in disclosures and filings.
- **Corporate Transactions**: Provide guidance and support on corporate transactions, including mergers, acquisitions, divestitures, and restructuring activities, ensuring compliance with legal and regulatory requirements.
- **Risk Management**: Identify and assess legal and regulatory risks associated with investment activities, providing proactive advice and recommendations to mitigate risks and safeguard the interests of the company.
- **Legal Advisory**: Offer strategic advice and legal support to management on a wide range of matters, including contract negotiation, dispute resolution, intellectual property, and compliance issues.

**Qualifications and Skills**:

- Qualified Company Secretary with membership of the Institute of Company Secretaries of India (ICSI).
- Minimum of 5 years of relevant experience in a corporate secretarial role within the Investments sector, preferably with exposure to listed companies.
- Thorough understanding of corporate governance principles, company law, securities regulations, and other relevant legal frameworks.
- Strong interpersonal and communication skills, with the ability to interact effectively with senior executives, board members, and external stakeholders.
- Excellent organizational and time management abilities, with a keen attention to detail and accuracy.
- Proven ability to work independently, handle multiple priorities, and meet tight deadlines in a dynamic environment.

**Salary**: ₹50,000.00 - ₹60,000.00 per month
