Position: Company Secretary & Compliance Officer
Qualification: CS
Experience: 3 years
Location: Navi Mumbai

**ROLE OBJECTIVE**:
To provide accurate and timely Management Information along with relevant inferences/conclusions to the Top Management. Manage secretarial and statutory compliance requirement of the company. To develop systems and process towards the capture and analysis of relevant financial information towards ensuring, sound and informed decision making by the stakeholders.

Organising, preparing agendas for and taking minutes of board meetings and annual general meetings (AGMs)

Maintaining statutory books, including registers of members, directors and secretaries;

monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;

Liaising with external regulators and advisers, such as lawyers and auditors;

Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.Provide administrative support and guidance to company directors.

Determines financial status by comparing and analyzing plans and forecasts with actual result.Financial Planning:
Manage the preparation of the company\'s budget

Create additional analyses and reports as requested by management.

Long term forecast and cash flow planning.

To ensure compliance with laws prevalent and applicable on the company and report to the Board of Directors (BoD) about the same.To ensure compliance with the applicable secretarial standards.To represent the company before various authorities.To ensure that the company engages in good corporate governance practices.Any other function that the Central Government may prescribe.

Coordination of ROC and secretarial activities with the Company Secretary.

To certify various documents and forms of the Company.

Any other such duties or responsibilities which a Company Secretary has to follow depending on the industry.

Knowledge of listing compliances on the stock exchange.
