The Company Secretary & Compliance Officer plays a crucial role in ensuring that the company operates within legal and regulatory frameworks, maintains corporate governance standards, and adheres to compliance requirements.

**Responsibilities**:

- **Corporate Governance**:

- Ensure compliance with corporate governance principles and regulations.
- Organize and attend board meetings, AGMs, and other corporate meetings.
- Draft and maintain accurate records of board resolutions and minutes.
- **Legal Compliance**:

- Keep abreast of changes in relevant laws and regulations affecting the company.
- Develop and implement compliance policies and procedures.
- Conduct internal audits to assess compliance levels.
- **Regulatory Compliance**:

- Monitor and ensure compliance with regulatory requirements from relevant authorities.
- Prepare and submit statutory filings and reports as required by law.
- Liaise with external legal counsel or regulatory bodies when necessary.
- **Risk Management**:

- Identify and assess legal and compliance risks.
- Develop strategies to mitigate risks and ensure the company's interests are protected.
- **Company Secretarial Duties**:

- Manage company records, registers, and filings with regulatory authorities.
- Facilitate communication between the board of directors, management, and shareholders.
- Ensure compliance with corporate laws and regulations governing the company's operations.
- **Training and Awareness**:

- Conduct training sessions to educate employees on compliance policies and procedures.
- Foster a culture of compliance and ethical behavior throughout the organization.

**Qualifications**:

- Bachelor's degree in Law, Business Administration, or related field. A postgraduate degree or professional certification in company secretarial practice or compliance is often preferred.
- Proven experience in a similar role, preferably within a regulated industry.
- Strong understanding of corporate governance principles, company law, and regulatory requirements.
- Excellent communication and interpersonal skills, with the ability to liaise effectively with internal and external stakeholders.
- Analytical mindset with strong problem-solving skills.
- Attention to detail and ability to work accurately under pressure.
- Sound judgment and integrity to handle sensitive information and ethical dilemmas.
