KLA Group is a leading exporter and manufacturer of rice and frozen vegetables in India. We are looking for a qualified and experienced company secretary to join our team and help us manage our legal and regulatory affairs.

As a company secretary, you will be responsible for ensuring that our company complies with all applicable laws and regulations, maintaining our statutory records and filings, liaising with external advisors and authorities, and providing support and advice to the board of directors and senior management

To be successful in this role, you should have a bachelor's degree in law, commerce, or a related field, and a valid membership of the Institute of Company Secretaries of India (ICSI). You should also have at least 3 years of relevant experience in a similar role, preferably in the export or manufacturing sector. You should have excellent communication, organizational, and analytical skills, as well as a high level of integrity and professionalism.

**Responsibilities**:

- Prepare and file various documents and returns with the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), Reserve Bank of India (RBI), Directorate General of Foreign Trade (DGFT), and other relevant authorities.
- Maintain and update the statutory registers, books, records, and minutes of the company.
- Organize and attend board meetings, committee meetings, annual general meetings (AGMs), and other meetings as required, and ensure proper documentation and compliance.
- Advise the board of directors and senior management on legal, regulatory, corporate governance, and ethical matters.
- Coordinate with external auditors, lawyers, consultants, bankers, and other stakeholders as needed.
- Monitor changes in laws and regulations that may affect the company's operations and activities, and ensure timely implementation and compliance.
- Handle secretarial matters related to mergers and acquisitions, joint ventures, collaborations, foreign investments, capital raising, etc.
- Manage the intellectual property rights (IPR) portfolio of the company, including trademarks, patents, designs, etc.
- Handle any litigation or arbitration matters involving the company or its directors or officers.
- Perform any other duties as assigned by the board of directors or senior management.

**Requirements**:

- Bachelor's degree in law, commerce, or a related field from a recognized university.
- Valid membership of the Institute of Company Secretaries of India (ICSI).
- Minimum 5 years of experience as a company secretary or in a similar role in the export or manufacturing sector.
- Knowledge of the Companies Act 2013, Foreign Exchange Management Act 1999 (FEMA), Foreign Trade Policy 2015-2020 (FTP), Goods and Services Tax Act 2017 (GST), Intellectual Property Rights Laws 2002 (IPR), and other relevant laws and regulations.
- Excellent communication skills in English and Hindi, both written and verbal.
- Strong organizational, analytical, problem-solving, and decision-making skills.
- High level of integrity, confidentiality, professionalism, and ethics.
- Ability to work independently as well as in a team.

**Salary**: ₹600,000.00 - ₹800,000.00 per year
