**Job Description Summary**: As a member for Legal and Compliance team, you will ensure that company complies with financial and legal requirements and maintain high standards of corporate governance.

This is Fixed Term Contract role.

**Your Role/Responsibilities**:
1. Compliances under Companies Act and other allied Acts, Secretarial Standards issued by ICSI, including tracking amendments / notifications / circulars issued by the regulatory authorities and developing action plan on various matters for effective implementation

2. Creating awareness to management / board on new regulatory requirements

3. Conduct Board / Committee / General Meetings and ensuring strict compliance of the directions of the Board / Committees including preparation of Agenda, Minutes and relevant correspondence / documents for Board / Committee / Shareholders and effective handling of all matters in relation thereto

4. Statutory Filings / Records - filing of forms / returns with Statutory Authorities, within the prescribed timeline and maintenance / up-dation of statutory registers / records

6. Ensure providing required details/documents to the statutory auditors, secretarial auditor(s) and cost auditors to complete the auditing process well in time and submitting to the Board/shareholders for approval as may be required.

7. Maintaining custody of all secretarial and statutory compliance related documentation, registers and ensuring record keeping of the same.

8. Providing support for BD/restructuring activities.

**Basic and Desired Qualification**:

- Should be a member of ICSI with 3-5 years’ working experience.
- Strong knowledge of corporate laws, regulations, and governance practices.
- Interpersonal skills and the ability to work with people at all levels.
- Good verbal and written communication skills.
- Confidence to provide support to high-profile company staff and board members.
