We're looking for a motivated **Company Secretary**, who will help us drive the company to the next level and have the most direct influence on our success. Support and ensure compliance for FlixBus's operations in India by managing corporate governance, legal compliance, and board activities. This role is crucial in maintaining the integrity and legal standing of the company while driving operational excellence.This position will be based in **Gurugram**. Ideal start month**:October-Novembe**r. We have **hybrid working model** (3 times per week in the office)

**Your Tasks - Paint the world green**
- You conduct Board Meetings, General Meetings, Board Committee meetings, etc. and closing all associated activities.
- You are adept in drafting board meeting papers, board committees and various other committees, policies, and procedures.
- You identify and due compliance with local laws and regulations and assist in auditing the compliance to laws and regulatory requirement
- You liaise with relevant authority/departments to ensure that where legal risks have been identified, appropriate courses of action have been taken
- You assist in paperwork for Company Secretarial matters pertaining to board and general meetings, memorandum and articles of Association, statutory registers, statutory filings, and corporate governance.
- You research as and when required.
- You assist in preparing and timely filing of necessary e-forms / returns with MCA/ROC/RBI/AD, and any other authorities.
- You maintain and update relevant statutory books, including registers of members, directors and secretaries i.e. required under Companies Act on a timely basis.
- You assist in coordinating with external parties such as investors, advisers, consultants, external company secretarial firm/s, and auditors and providing necessary documents and information

**Your Profile - Ready to hop on board**
- Qualified Company Secretary (+ LLB preferred)
- Ability to manage multiple priorities, work under pressure, and meet tight deadlines
- High level of integrity, ethics, and professionalism in dealing with sensitive information
- Strong organizational skills and attention to details
- Strong verbal and oral communication skills, as well as interpersonal skills to effectively collaborate with cross-functional teams and senior management
- Understanding of the regulations of Foreign Exchange and Management Act (FEMA)
- Fluent level in English
