**Job Description: -**

**Contracts**:
1. Standardization of templates while prescribing negotiable and non-negotiable clauses basis risk categorization and type of contracts.

2. Set up an efficient drafting and review process of contracts and other legal documents for various business lines including payments, technology, merchants, product specific like insurance, mutual funds, coupons etc.

3. Lead contractual negotiations and closure independently.

**Commercial**:
1. Develop commercial understanding of the business and each product line for risk assessment including what is mandatorily required under various regulations for financial services products like insurance and mutual funds.

2. Provide expert & strategic legal advice on various aspects of business to management on optimizing the contracting process, stamping, e-sign, repository access etc.

3. Evaluate and weigh multiple inputs and impacts of any decision or course of action as the business is large, has PAN India operations and offices, ability to anticipate issues and estimate risks, identify proactive solutions that will eliminate or mitigate risks.

**Process**:
1. Communications with relevant counter parties / external counsels for contract finalization.

2. Systematize the contracting process, TAT expectations, repository and retrieval process.

3. Establish an auditable and robust process for renewals and monitoring of key requirements of contracts.

4. Deployment of technology-based solutions and tools to make the end-to-end contracting process efficient, effective and best in class as to quality of drafting and risk mitigation.

5. Keep abreast of legislative change & maintain current knowledge of alterations in legislation to continue to improve contract versions.

**Risk and Control Objective**:
1. Ensure that all activities and duties are carried out in full compliance with regulatory requirements, the Enterprise-Wide Risk Management Framework and internal Policies and Policy Standards.

2. Displays a strong understanding of the risk & control framework (especially legal key risks), exercises sound risk-based judgment, complies with policies, focused on conduct and doing the right thing, identifies and escalates risk and control issues to management.

3. Build strong partnerships with colleagues in other functions, such as Compliance and Risk, to understand their key risks and identify improvements in the risk and control framework and contribute to the creation of controls.

**Min Qualification**

1. LL.B/ LLM.

2. Minimum 10+ years post-qualification experience.

3. Have strong drafting and communication skills.

4. Exposure to a variety of contracts - Complex IT /software development, licensing, real estate to variety of vendor, supplier, employment, service contracts - both revenue and expense line contracts.

5. Overall good legal knowledge (corporate law, employment laws, business laws, data privacy practices, info sec standards, etc.). Exposure to regulatory compliance and litigation is good to have but not mandatory.
