**Role & responsibilities**
- **Compliance Management**:Ensuring the company complies with all relevant laws and regulations, including those specific to the retail industry.

Keeping the board and management informed about changes in legal and regulatory requirements that may impact the company.
- **Corporate Governance**:Facilitating good corporate governance practices within the organization, including ensuring board meetings are properly conducted and that board members are aware of their duties and responsibilities.

Assisting in the development and implementation of corporate governance policies and procedures.
- **Shareholder Relations**:Managing interactions with shareholders and investor relations, including handling communication related to annual general meetings, dividends, and proxy voting.

Assisting with the preparation of annual reports, financial statements, and other documents for shareholders.
- **Board Support**:Providing support to the board of directors, including helping to set the board agenda, preparing board meeting materials, and ensuring that board decisions are properly documented and executed.

Keeping the board informed of their legal obligations and ensuring they act in the best interests of the company and its shareholders.
- **Regulatory Filings**:Overseeing the preparation and submission of required regulatory filings and disclosures, such as annual financial reports, quarterly reports, and other filings mandated by regulatory authorities.

Ensuring that these filings are submitted accurately and on time.
- **Record Keeping**:Maintaining and managing corporate records, including minutes of board meetings, shareholder records, and other legal documents.

Ensuring that the company's records are organized and easily accessible.
- **Risk Management**:Identifying legal and compliance risks that the company may face and working to mitigate these risks.

Advising the board and management on risk management strategies.
- **Legal Support**:Collaborating with the company's legal department and external legal counsel to handle legal matters, including contracts, litigation, and intellectual property issues.

Ensuring that all contracts and legal agreements are properly drafted, executed, and maintained.
- **Ethics and Compliance**:Promoting ethical behavior and compliance with the company's code of conduct and ethics policies.

Investigating and resolving any ethical or compliance issues that arise.
- **Corporate Secretarial Duties**:Carrying out standard corporate secretarial tasks, such as drafting resolutions, maintaining the company's register of members, and managing the share capital.

Ensuring that the company's Articles of Association are updated as necessary.
- **Training and Development**:Keeping abreast of changes in laws and regulations affecting the retail industry and ensuring that the company's staff is informed and trained on compliance matters.
- **Internal Control**:Assisting in the establishment and maintenance of internal controls and risk management procedures to safeguard company assets and ensure the accuracy of financial reporting.

Pay: ₹32,831.25 - ₹40,840.49 per month
