**Roles and Responsibilities**

Vetting of Minutes of Board Meeting(s), Committee Meeting(s) and General Meeting(s)
- Review and finalisation of various e-forms and ensuring timely filing with ROC (Registrars of Companies)
- Preparation & finalisation of different activities relating Capital raise / Capital infusion and ensuring timely
- compliance of all documentations/returns etc.
- Preparation, Review of Annual Report(s)
- Preparation, Review & Maintenance of statutory registers / records / returns
- End to end assistance in holding of Board/Committee/General Meeting(s)
- Coordination with the diff Auditors of the Company and ensure providing diff deliverables etc.
- Taking responsibilities of diff compliances as applicable to Debt/Equity listed compliances
- Independent liasioning and dealing with diff Regulators Viz. Registrar of Companies and stamp authority
- etc. for the purpose of the client company(s)
- Preparation / Finalisation of different presentation / Deck for Compliance unit
- Review of diff works relating to Incorporation of Company and matters related therewith, under the
- Companies Act, 2013
- Review and finalisation of diff compliances in respect of Change of Name, Change of Object, Change of
- Registered Office, Increase in Capital, Alteration of Clauses of MOA (Memorandum of Association) & AOA
- (Articles of Association)
- Review and completion of diff activities relating to DIN (Director Identification Number), Digital Signatures
- etc.
- To ensure various compliances w.r.t Companies Act, SEBI, RBI, NHB, IRDA including interaction, co
ordination & reply to various letters
- Co-ordination with diff Stakeholders, Investors and to ensure Investment Verifications for the Group
- Companies. Review & resolution of their queries.
- End to end compilation, review and timely compliances of matters relating to Corporate & Secretarial
- Affairs
- Review and finalisation of compliances for Associate Companies
- Tracking & preparation of Corporate updates w.r.t amendments/regulatory
- changes/circulars/notifications etc.
- End to end work in regard to ensuring adherence to all internal, local & regulatory compliances- Role:_Legal Rights - Other
