**What you will be doing**

**Contracting**
- Drafting, reviewing, negotiating, finalizing sell and buy side contracts, including NDA, MSA, Software license agreement, professional services agreement, escrow agreement, MOU, LOI
- Review RFPs, RFQ, EOI, prepare pre-bid queries, risk matrix, highlighting non-standard terms
- Provides a variety of general corporate and commercial legal services to a number of in-house clients
- Renders opinions and advice regarding the interpretation of contract provisions, and other business law issues
- Manages a variety of assigned legal projects relating to M&A, divestiture, corporate restructuring

**Litigation**
- Drafting and reviewing opinions, letters, responses, legal notices, and various documents
- Performs legal research and analysis in preparation for litigation or other legal actions
- Examines pertinent information, e.g., interview notes, historical precedent, etc., to determine advisability of defending or prosecuting litigation

**Essential duties**
- Ability to deliver high-quality work under deadlines
- To secure compliance of business operation with relevant laws and regulations
- To anticipate and mitigate the (legal) risk connected with or resulting from the business strategies and operations
- Cooperate with other members within law department, other departments, functions, etc.
- Represent the department as and when required with Sales, Operation, Delivery before the client
- Advising on general business law-related issues and managing legal issues

**What you bring**:

- Bachelor's in law with strong academic credentials
- Minimum of 7 to 8 years of experience as in-house counsel, preferably in a large multinational corporation
- Demonstrated strong legal experience in managing litigation, handling general corporate and commercial matters, drafting commercial sell and buy-side software licensing and services related contracts
- Litigation skills and knowledge to handle arbitration and court litigations
- Excellent verbal and written communication skills with the ability to tailor messages to be appropriate to the audience and avoid technical jargon
- Experience in compliance monitoring will be an added advantage
