- 1. Corporate Governance:

- Advise the board of directors on corporate governance best practices.
- Maintain the highest standards of corporate governance, particularly regarding board activities.
- Board and Committee Support:

- Organize and prepare agendas for board meetings and annual general meetings (AGMs).
- Record minutes and follow up on action points from meetings.
- Advise the board on relevant legislative and regulatory changes
- 3. Statutory Compliance:

- Maintain statutory books, including registers of members, directors, and secretaries.
- File annual returns and ensure timely submission of statutory filings with regulatory bodies (e.g., Registrar of Companies).
- Ensure compliance with statutory requirements like the Companies Act.
- 4. Legal & Compliance:

- Provide advice on corporate legal matters and ensure that the company follows all legal guidelines.
- Oversee contract execution and ensure legal documents are in order.
- Maintain relationships with regulators and auditors.
- 5. Communication:

- Act as the company’s representative on legal documentation and communication with stakeholders.
- Ensure the smooth running of all shareholder communication and relations.
- Liaise with external regulators and advisers, such as lawyers and auditors.
- 6. Risk Management:

- Help in the identification and management of risks.
- Ensure proper implementation of internal controls and processes.
