**Qualifications**:
- LLB (Bachelor of Laws) degree.
- Company Secretary (CS) qualification is mandatory.
- **Experience working with listed companies (NSE & BSE) is preferred and essential.**
Key Responsibilities:
- **Compliance Management**:
- Ensure adherence to the Listing Agreement and compliance activities with Stock Exchanges.
- Handle compliance matters under the Companies Act, 2013 and 1956, including various filings.
- **Board Support**:
- Prepare resolutions and minutes for Board Meetings and General Meetings.
- Draft and finalize Directors’ Reports and AGM/EGM notices.
- **Regulatory Filings**:
- File necessary forms and documents with the Registrar of Companies.
- Maintain and update registers and records in accordance with the Companies Act, 2013.
- **Shareholder Services**:
- Coordinate with the Registrar & Transfer Agent as needed.
- Manage compliance related to the dematerialization of shares.
- **Legal Documentation**:
- Ensure that all legal documents and contracts are complete, compliant with company policies, and statutory requirements.
- **Government Liaison**:
- Act as the point of contact with governmental authorities for compliance matters.
- Provide administrative support to management regarding compliance with legal and statutory requirements.
- **Advisory Role**:
- Provide guidance to management on compliance issues and corporate governance.
