As a **Semi-Qualified Company Secretary in the Merchant Banking Department**, you will play a crucial role in assisting the teams members in handling various regulatory and compliance matters related to merchant banking activities. This position requires a strong understanding of company secretarial duties, corporate laws, and regulations governing **merchant banking operations.**

Key Responsibilities:
1. Regulatory Compliance: Assist in ensuring compliance with applicable laws, regulations, and guidelines related to merchant banking activities, such as Securities and Exchange Board of India (SEBI) regulations, Companies Act provisions, and other relevant statutes.

2. Documentation and Filings: Prepare, review, and maintain legal and regulatory documentation, including prospectuses, offer documents, board resolutions, agreements, and other relevant records. Coordinate with internal teams and external stakeholders to ensure timely and accurate filing of necessary documents.

3. Due Diligence: Support the due diligence process for merchant banking transactions, including conducting legal research, gathering information, and preparing reports to assist in assessing risks and compliance requirements.

4. Corporate Governance: Assist in implementing and maintaining effective corporate governance practices within the merchant banking department, including board and committee meeting preparations, agenda drafting, and minute taking.

5. Liaison and Communication: Serve as a point of contact for regulatory authorities, clients, and internal teams regarding company secretarial matters. Prepare and communicate necessary correspondences, notices, and circulars as required.

6. Compliance Monitoring: Monitor regulatory developments and changes in merchant banking regulations and assess their impact on the organization. Keep the team updated on new requirements and assist in implementing necessary changes to ensure ongoing compliance.

7. Record Keeping: Maintain accurate and up-to-date records, registers, and databases related to merchant banking operations, ensuring their confidentiality and availability when required.

8. Team Collaboration: Collaborate with the merchant banking team, legal department, and other relevant stakeholders to ensure smooth coordination and compliance with legal and regulatory requirements.

Qualifications:

- Intermediate stage or equivalent qualification of the Company Secretary (CS) course.
- Strong knowledge of company secretarial duties, corporate laws, and regulations related to merchant banking activities.
- Familiarity with SEBI regulations and compliance requirements.
- Excellent written and verbal communication skills.
- Attention to detail and ability to handle multiple tasks simultaneously.
- Strong analytical and problem-solving skills.
- Ethical conduct and commitment to maintaining confidentiality.
