**Responsibilities**:
1. Compliance Management:
- Ensure compliance with all applicable laws, regulations, and guidelines relevant to the company\'s operations.
- Prepare and file statutory forms, returns, and reports with relevant government authorities in a timely and accurate manner.
- Monitor changes in corporate laws and regulations and communicate any potential impacts to the organization.
- Maintain and update statutory registers, records, and documents as required.
2. Board and Committee Support:
- Assist in organizing board and committee meetings, including preparing agendas, collating board papers, and drafting minutes.
- Coordinate with internal stakeholders to ensure timely dissemination of meeting materials and follow-up on action items.
- Maintain accurate records of board and committee meetings, resolutions, and decisions.
- Facilitate communication between the board, management, and shareholders, ensuring compliance with disclosure requirements.
3. Corporate Governance:
- Support the development and implementation of corporate governance policies, procedures, and practices.
- Conduct periodic reviews to ensure adherence to corporate governance standards and recommend improvements where necessary.
- Assist in drafting and updating corporate governance-related documents, such as charters, codes of conduct, and policies.
4. Shareholder Relations:
- Assist in managing shareholder relations, including handling queries, requests, and complaints.
- Coordinate with the registrar and transfer agent to ensure accurate maintenance of shareholder records.
- Facilitate the organization of shareholder meetings and the distribution of relevant documents.
5. Legal and Regulatory Compliance:
- Collaborate with the legal department to ensure compliance with applicable laws, regulations, and contractual obligations.
- Assist in drafting and reviewing legal documents, such as contracts, agreements, and resolutions.
- Conduct legal research and provide recommendations on legal and regulatory matters.
Qualifications and Experience:
- Qualified Company Secretary (CS) with membership of the Institute of Company Secretaries of India (ICSI).
- Minimum 3-5 years of relevant experience working with a publicly listed entity.
- Strong knowledge of corporate laws, regulations, and governance practices.
- Excellent understanding of compliance requirements and reporting obligations.
- Experience in organizing board and committee meetings and preparing related documentation.
- Familiarity with shareholder relations and handling regulatory filings.
- Proficient in using Microsoft Office Suite and other relevant software.
