**Job description**

**Roles and Responsibilities**
- Ensure that company is fully compliant at all times on secretarial matters
- Filing and reporting of information SEBI, stock exchange, ROC, MCA, RBI
- Conduct board meetings and committees, Independent Director meetings and shareholders meetings as per prevailing act and regulations
- Responsible for pay out of annual declared dividend
- Responsible for timely updation on CSR and publishing of company financials on company website
- Draft, implement and review act and listing agreement
- Ensuring timely preparations and filing of reports, returns, forms, compliance certificates and documentation for all subsidiary companies thru junior CS as per requirement of SEBI, Stock exchange, ROC, MCA and RBI
- Reviewing and approving drafts of notices, agendas, Minutes of the meeting, resolutions, partnership deeds
- Assist and conduct EGOM and AGM
- Maintaining of statutory registers as per companies act of 2013
- Filing of quarterly, six-monthly and annual reports, forms and annual financial results as per companies act with ROC
- Preparing documentation towards Issue, allotment, alteration, transfer of shares and payment of stamp duty
- Represent, Liaise and coordinate with Stock Exchanges, SEBI, MCA, ROC, RBI, RD, NCLT, Registrar of Stamp Duty on behalf of the company
- Assist in formulation of new company and conversion of company
- Inspection of documents and secretarial audit
- Issue of Resolutions and authorizations
- Qualified CS with minimum 1 years of experience
- Sound secretarial knowledge with ability to analyze and implement various notifications and its implications
- Working knowledge of accounts and legal matters
- Excellent written and verbal communication and interpersonal skills.
- Ability to motivate teams to produce quality materials within tight timeframes and simultaneously manage several projects. Ability to participate and facilitate group meetings.
