**JOB DESCRIPTION**:
**Responsibilities**:
Compliance Management : Ensure compliance with company law, regulations, and corporate governance principles.
Maintain and update corporate records, including board minutes, resolutions, and statutory registers.
- Prepare and file statutory returns, such as annual reports and financial statements, with relevant authorities.
- Advise the board of directors on compliance-related matters.
- **Board Support and Governance**: Organize and prepare materials for board meetings, including agendas, minutes, and reports.

Coordinate board and committee meetings, ensuring proper notice and attendance.
Facilitate effective communication between the board, management, and shareholders.
Provide guidance on corporate governance practices and monitor adherence to governance policies.

**Shareholder Relations**:

- Manage communication with shareholders, including handling queries, issuing notices, and managing share transfers.
- Facilitate shareholder meetings, including the annual general meeting (AGM), and ensure compliance with relevant procedures.
- Assist in the preparation and distribution of shareholder-related documents, such as annual reports and proxy statements.
- **Legal and Regulatory Compliance**: Stay updated on changes in corporate law and regulations, ensuring the company's compliance.

Advise management on legal and regulatory requirements impacting the business.
Assist in drafting and reviewing legal agreements, contracts, and other legal documents.
Liaise with external legal counsel, auditors, and regulatory authorities as required.
- **Corporate Secretarial Duties**: Maintain corporate records and registers, including the register of members, directors, and charges.

Assist in the formation, dissolution, and restructuring of companies and subsidiaries.
Coordinate the drafting and execution of legal documents, such as powers of attorney and share certificates.
Manage company seal, where applicable.
- **Requirements**:

- Bachelor's degree in law, business administration, or a related field.
- Professional certification as a Company Secretary (e.g., ICSA) is desirable.
- In-depth knowledge of corporate law, governance principles, and regulatory requirements.
- Strong organizational and administrative skills, with excellent attention to detail.
- Effective communication and interpersonal skills to liaise with various stakeholders.
- Ability to work independently and handle confidential information.
- Proactive approach to identify compliance risks and suggest improvements.
- Proficiency in relevant software and tools for record-keeping and document management.

**Job Type**: Regular / Permanent

**Salary**: ₹30,000.00 - ₹40,000.00 per month

Schedule:

- Lucknow, Uttar Pradesh: Reliably commute or planning to relocate before starting work (required)
