Job Purpose
Assist in effective implementation of commercial processes by ensuring adherence to legal compliances for the marketing function.
Key result areas:
Legal Cases and Contingent Liabilities :
  • Monitor the active customer dispute cases across zones and provide necessary advice on the course of action and wherever required seek advice from Head Accounts compliance and CCH
  • Review and sign off the proposals for appointment of external agencies to conduct raids on fraudulent parties
  • Provide guidance to the zonal team in managing various litigation matters
  • Draft the pleading papers for all the active legal cases / EOW matters received from agencies and send the same to Central Legal Cell for review for pursuing the legal matters
  • Draft standard agreements for RMC business related to land on lease, plant on lease, Godown hiring etc and send the same to CLC team for review /vetting
  • Draft standard agreements for dealers, channel partners, transporters, vendors, long term suppliers etc and sent to CLC for review and finally sent to zones for execution purpose once finalised
  • Review and vet the agreements and supporting documents for new plants of RMC/ BPD for all the legal aspects and changes with respect to state, plant capacity, proposed operating model, negotiations etc and send the same to CLC team for final review and approval
  • Provide consultation on legal matters related to IT Act, Legal Metrology, Weights and Measure, etc. to the Central Marketing Team, Commercial teams for effective decision making on those matters as and when they arise

Direct / Indirect Tax matters:
  • Clarify the legal sections / statutes related to Direct / Indirect Tax matter disputes and decide as to which section needs to be included with respect to the same.

Contract Review
  • Drafting of large volume contracts with various vendors with respect to applicable regulations after taking inputs from relevant stakeholders and finalise the same in consultation with the legal team.
  • Review and vet the agreements and supporting documents for agreement with service providers e.g. SAP, ICICI Arteria, Birla Soft, MSA-parties, automation and digitization etc.

IT Automation / Digitisation
  • Finalise the terms and conditions for application development for commercial aspects with the CLC team

IPR - Trademark Matters
  • Highlight illegal use of trademark and help the advocates file opposition regarding the same with the registry of trademarks for any illegal usage by reviewing the legal drafts along with CLC before it goes for final filling
  • Get complaints coming from zonal and regional marketing teams highlighting usage of similar materials as Ultratech brand investigated and raids conducted by the empanelled agencies and file a legal case in high court if necessary for the same.

Bill Factoring Business
  • Communicate with the key customers highlighted by the marketing team to convince them for factoring method to clear outstanding and how it would be beneficial to them
  • Approach and liaise with banks approved by CFD Treasury team for lending money /funding on a factoring method to key customers with high o/s

Draft factoring agreement to be signed along with the Bank including various terms and conditions and the interest rates agreed upon by CFD team and get the same reviewed by CLC and CFD team before finalisation and signing with the Bank
Export Documentation Finalisation:
  • Review and finalise the cement marketing export related documents to be submitted to related ministry / trade council and send to the respective export team
