JOB PURPOSE(Briefly describe the general purpose of the position or its significance from the organisation\ 's point ofview and how it contributes to the overall mission/objective of the organization).Senior member of Team taking care of cluster of companies with responsibility to Supervise anddirect Junior Colleagues:Corporate Secretarial Department has to take necessary decisions and actions to make the Group compliant of corporate law requirements including Companies Law, SEBI & other applicable Regulations. It has to ensure all business / financial operations are statutory compliant and the job is more of operational than advisory. Its jobs include1. Continuous monitoring / execution of Corporate actions and ensuring they are compliant of statutes and corporate agreements.2. Maintain statutory records,3. Fulfill corporate statutory obligations by filing necessary forms and documents with statutory authorities,4. Conduct meetings of Boards including its committees & members of corporate entity and 5. Work on updation of Policies/SOPs for uniformity and improve Corporate Governance Process of GMR Group.Work for debt listed entities, fund raising corporate actions, updation of website, Structural Data Base, monitoring of Compliances, CSR, working with stakeholders like, Stock Exchange, RTAs, Depositories etc.The department maintains about 60 numbers of entities including trusts and LLPs.Lead will be expected to manage 7-10 entities and provide support for Group activities.He will be reporting to Senior Lead of team who will supervise and guide the junior colleagues of the team and support the Head of the Team in managing the jobs entrusted to the team.Team will contain required number of executives in the cadre of AM (experienced Company Secretary with more than 5 – 7 years of experience) and JM (experienced Company Secretary with more than 3 – 5 years of experience).Team also may have CS trainee/s.The position of Lead – Secretarial will be a will be expected to support the cross functional teams, corporate activities.Apart from the jobs mentioned above, he will also take care of some additional managerial responsibilities such as maintaining profiles of the group entities for effective monitoring of the CorporateGovernance activities, safeguarding the logo and copy rights of the group name, optimization of boards’ strength, merger and acquisition relating to the entities managed by the cluster, preparation of draft AOP etc.2. Lead will be reporting to Senior Lead and dot lines to HOD3. KEY ACCOUNTABILITIES(List the responsibilities/duties associated with the job. For each responsibility/duty listed, give the factorson which an individual’s performance is judged).Accountabilities Key Performance IndicatorsDeal with senior members of the team dealing with GEPL & Associates Cluster of entities.Coherence in the TeamResponsibility to supervise execution and management of secretarial operations by direct Junior members of the team for successful completion of tasks / operations entrusted and plannedNo failures in executionExtracting external support for the teams’ efficient functioning and supporting the Juniors by resolution of conflicts with external executives and HOD’s.No conflicts - smoothfunctioningGuiding the team members to finalize meeting dates, Agenda points, reviewing and perfecting the drafts for Agenda’s and minutes to improve corporate governance.Time bound execution withoutany delaySupporting Head of the team in key discussions, decisions with inputs of legal interpretations, agreements and operational information etc.Providing comfort to the Head ofthe TeamSupporting and implementing / managing corporate initiatives viz. group profiling, board optimization, standards improvement, knowledge documentation, creation of standard operating procedures etc.Updated process standards andknowledge capsuleUndertaking and managing basic execution of compliance operations / jobs for selected entitiesPerfect execution- no failure ordelay.4. Meeting expenditure of Board & Committee meeting of about 8 – 10 entities including Companies,LLPs, Trusts,Other Dimensions(Indication of some of the significant volumes associated with the job like number in team/ staff handledetc). Supervision of about 2 – 3 team members including AM, JM and Trainees Responsible to Sr. Lead & HOP6.
