Job Summary:

The role involves overseeing all legal, regulatory and contractual aspects of the companys renewable energy operations, including contract drafting/reviewing and negotiation, regulatory litigation and compliance, risk mitigation, and dispute resolution/arbitration. The ideal candidate will have expertise in corporate law, power sector regulations, contract drafting/negotiations, and legal risk management in the infrastructure or power sector.

Key Responsibilities:

1. Legal & Regulatory Compliance:

  • Ensure compliance with all applicable laws, regulations, and government policies related to renewable energy projects.
  • Monitor legal developments, regulatory updates, and policy changes impacting the renewable energy industry.
  • Handling matters before regulatory bodies such as CERC, SERCs, MNRE, and other government authorities.

2. Contract Management:

  • Draft, review, and negotiate contracts, including Power Purchase Agreements (PPAs), Engineering, Procurement & Construction (EPC) contracts, Land Lease Agreements, and O&M Agreements.
  • Ensure that contracts align with company objectives while mitigating legal risks.
  • Provide legal support on contract disputes and resolutions.

3. Litigation & Dispute Resolution:

  • Handle legal disputes, arbitration, and litigation related to the company's projects.
  • Manage external counsels and represent the company in legal proceedings, if required.
  • Advise management on risk mitigation strategies for potential and ongoing disputes.

4. Corporate & Commercial Laws:

  • Support in corporate governance matters, shareholder agreements, and board meeting by providing analytical summaries of legal matters.
  • Assist in M&A transactions, due diligence and project financing.

5. Land Acquisition & Title Due Diligence:

  • Oversee legal due diligence for land acquisitions, lease agreements, and land conversion processes.
  • Ensure compliance with state land laws and local regulatory approvals.

6. Risk Management & Policy Advisory:

  • Identify legal risks associated with business operations and provide proactive solutions.
  • Develop internal legal policies, frameworks, and SOPs to ensure risk mitigation.
  • Support business teams in structuring projects within legal and regulatory frameworks.

7. Stakeholder & Cross-functional Collaboration:

  • Work closely with internal teams, including Finance, Operations, Project Development, and Compliance.
  • Engage with external stakeholders, including government agencies, legal firms, and consultants.

Qualifications & Experience:

  • Education: LLB/LLM from a reputed university. Additional qualification of CS/CA/CMA will be preferred.
  • Experience: 15+ years of legal experience, preferably in the renewable energy or infrastructure sector.
  • Expertise in: Contract Law, Electricity Laws,Environmental Laws, Land Laws, Corporate Law, and Dispute Resolution.
  • Strong knowledge of regulatory frameworks in the renewable energy sector.
  • Excellent negotiation, analytical, and problem-solving skills.
  • Experience in handling high-stake legal matters and liaising with government authorities.
