Job Description:LEGAL:

MANAGEMENT:

Drafting & Vetting of Master Service Agreement, Non-Disclosure Agreement, Statement of Work, Service Provider Agreement, Vendor Agreement, Lease Agreement, Leave & licensing Agreement, Memorandum of Understanding, Power of Attorney, Addendum, etc.Responsible for tracking and monitoring contract modifications, deliverables, correspondence and risks, maintaining associated documentation.Research on contractual terms and conditions or other regulations;Assist in identifying contract management issues and proposing solutions for approval & Managing Pre & Post contract review.Identify & propose apt solution to the anticipated commercial and legal risks in a contract.Facilitate effective implementation of contract management.Negotiate & structure commercial and legal terms in conjunction with the business & Corporate guidelines.Monitoring & ensuring adherence of the contractual compliance(s) with zero misses and make sure that the clauses incorporated in the Contract are in sync with Company’s policies/process, with minimal exposure to the Organization.Ensure adherence to Company’s Contract Management Policy and approval of e-Contracts within stipulated timeline.Title investigation/ Due Diligence of the property on lease/sale and sharing legal opinion with internal stakeholder, before its acquisition, by proper scrutinizing/review of documentation.Verification of records by seeking help of external counsel, from the Office of the sub-registrar, for the property in question, to ensure authenticity of the documents provided.Execution of the Agreement and allied activities, ie. payment of stamp duty, registration of the Agreement.Ensure effective coordination with business team/internal stakeholders, for their input & Incorporation of the requisites, for watertight contract.

LITIGATION:

Managing Corporate Litigations including Arbitration, Consumer, Civil, Tax & Criminal Matters for both in High Court(s) & the Trial/Lower Court(s) in Bihar & Jharkhand;Preparation of brief, pleadings, plaint, Written Statement, rejoinder, affidavit, detailed summary/write up, for internal circulation, etc related to the ongoing/projected litigation;Interaction and end to end management of external counsel, technical expert, jury consultant, paralegal, support staff, and business unit representatives.Ensure effective coordination with business team/internal stakeholders, for their input & understanding of the requirements, for a well-planned/strategic approach for effective litigation results.Legal advice/opinion on routine and highly complex legal matters.Co-ordinating with Statutory Authorities on the matters relating to the Company;Research and collecting relevant Case-Laws and Materials for ongoing/potential litigation;Handling pre litigation issues efficiently such as drafting of Notices for defaulting Partner(s), Reply to the Legal Notices of the Customers & Vendors, initiate amicable settlements, in line with Company’s Litigation Management Policy.Drafting & Vetting of letters/responses to the Statutory Authorities/ State Agencies, over day to day challenges & support required for smooth transaction of business.Timely incorporation of day to day updates of litigation and responses of the legal notice over Notice Management System (i.e. a portal).Appearance before the Lower Court/ Consumer Forum / High Court.Effective drafting of Police Complaint and assist Circle Nodal Team.Support concerned functions in closure of all audits pertaining to legal & regulatory.Timely review and effective interpretation & applicability of law/rules along with its amendments thereto.Business support:Permissions: Facilitate speedy rollout of towers & fibre through co-ordination with state govt. / local municipal bodies / State or District Broadband Committees, etc.support for CTA & Government sites aligned with gazette notification on ROW.Certifications and Experience
