In the role of the Lead, Contracts & Compliance, Forge the person, a qualified CS professional with a minimum of 2 years experience handling commercial contracts, managing compliances, ensuring seamless coordination between internal and external stakeholders shall report to the GM- Finance & Operations and is responsible for all financial and administrative areas coming under the broader Key Result Areas (KRAs) relating to:- Execution & Maintenance of Contracts- Execution of Startup Seed Investment Transactions- Startup Portfolio Compliance and- Fund Administration and CompliancePosition & DesignationGrade - Sr. Associate or ManagerThe Lead, Contracts & Compliance shall be designated in Forge at the grade of Sr. Associate or Manager depending on the past experience, professional qualification and relevant/direct experience in contract management and execution, ensuring compliance across the startup portfolio, and administering and managing fund administration within a robust compliance framework.CompensationForge compensation is at par with the top end of the social enterprises sector in India and continuously benchmarked to be above the average compensation offered in the social (non-commercial or development) sector in general but significantly above the average compensation offered by TBIs.The Total CTC will include 3 major components namely, Fixed Monthly Gross, Fixed Quarterly Payout, and Annual Development Bonus (linked to demonstration of progress on developing and strengthening capabilities in alignment with the Career Advancement and Capabilities Development framework of Forge).Role & Responsibilities - Key Result Areas#1 Execution & Maintenance of Contracts- Responsible (directly and independently) for the execution of various contracts covering Startup agreements, Innovation Grants, Seed Investments, Coworking, Supplier agreements, Partnership agreements, MoUs, Grant sanction agreements etc. according to the SOPs;- Perform necessary administrative tasks required for proper standardisation, maintenance, review, customisation and upgrade required of the various documentation artefacts relating to various types of agreements administered by Forge, including the coordination with external professionals wherever necessary after obtaining necessary approvals from the company management;#2 Startup Investments - Transactions Administration- Manage directly the end-to-end SOPs involved in the implementation of startup investment transactions, documentation and execution of definitive agreements including customisation of Term sheet, basic due diligence of the company, ensuring closing compliance procedures including the drafting, vetting, review of relevant resolutions for increasing authorised share capital, conducting rights offer for private placement, allotment of shares to investor, appointment of investor director etc., as may be required for the relevant investment instruments, ensuring 100% compliance with statutory norms and guidelines;- Supporting members of Forge.Fund in handling smooth and effective coordination between and amongst the external stakeholders including investors, startup founders, chartered professionals to prevent any delays in the implementation of investment transactions;#3 Statutory ComplianceFor Forge:- Implementation of process rigour in documenting and managing compliance under Corporate & other Laws including PF/Labour Laws;- Preparation of agendas, resolution and minutes for internal and external meetings as required.For Startups:- Provide Corporate Governance / Secretarial Services to Incubated Startups on ensuring compliance under Corporate and other laws as may be required from time to time;- Monitoring compliance on the part of startups in completing their contractual commitments in a timely manner, and coordinating directly with the startups to ensure necessary actions are taken to address any compliance issues in a time bound manner;- Liaise and work closely with External Professionals engaged by Forge as and when required, to expedite filing process and ensure timely compliance of regulatory requirements for startups.#4 Fund Administration- Regulation & Compliance- Implementation of best practices for fund administration compliance for all grant received from government or corporates, where Forge acts as the Grant Implementation Agency.- Responsible for conducting regular review of expenditure statements and proofs of payments submitted by startups at completion of every milestone in accordance with the stated expectations/guidelines in a timely manner;- Manage end-to-end financial due diligence process for startups approved for funding by the Forge Grants Committee and prepare comprehensive financial due diligence reports for the Committee, clearly articulating key findings and recommendations;- Manage end-to-end all SOPs involved in the reporting of fund utilisation across all grants received from various Government or Corporate principals, whom Forge serves as the Grant Implementation Agency in the role of Partner Incubator;
