Our team in Mumbai currently has an opening for a Legal Counsel & Corporate Secretary YOUR ROLE & RESPONSIBILITIES The CorporateSecretary & Legal Counsel will provide legal, compliance and corporatesecretarial support to Brenntag India. Duties and Responsibilities: Leading all legalmatters, compliance and secretarial matters for the Brenntag India and for APACprojects assigned; Providing practical/ commerciallegal advice to management and internal stakeholders regarding legal issues andrisks; Reviewing, draftingand negotiating a variety of contracts and legal documents (both commercial andnon-commercial); ensuring all contracts accurately reflect commercial decisionsand are in compliance with all applicable laws and company policies; Overseeing andmanaging all company secretarial matters in Brenntag India , including but notlimited to: Supervising andliaison with country corporate secretaries/ local legal officers on corporatesecretarial matters; Initiating, implementingand developing a system to ensure all corporate filing deadlines in theAsia-Pacific regions are met; Responsible for proper maintenance of company records,books, registers and files for assigned countries; responsible for allstatutory corporate secretarial and governance filings and reporting; Design, manage and lead the Corporate Secretarialneeds of the organizationConducting Board Meetings of the CompanyCirculating the Draft minutes to Regional Legal andconfirming the sameConducting Shareholders meetings and completing theMinutes of the MeetingTimely and accurately filing of all StatutoryReturns.Maintaining in all completeness all statutoryregisters and records. Providing legaladvice relating to employment matters and be a trusted partner to the humanresources department; Implementing BrenntagAPAC legal and compliance policies and guidelines at Brenntag India and conduct necessary trainings as instructedby the Brenntag APAC legal and compliance department; Attending toregistration, maintenance and renewal of intellectual property for assignedcountries; Overseeing and managinglegal claims and litigation; managing and liaising with external counsel asrequired for assigned countries; Providing support to BrenntagAPAC Head of Legal in relation to compliance related matters, policies andprocedures. Brenntag, the world’s largest &leading full-line chemical distributor with a market cap of EUR11 billion isseeking a highly-motivated, diligent and meticulous Regional Legal Manager – YOU will play acrucial role in implementing Brenntag’s special projects, leading & managingcontract management tools, reviewing and negotiating commercial agreements andto provide training on Legal Group policies and procedures. YOUR PROFILE Bachelor of Laws Degree (minimum), from a reputable University in India and preferably with overseas education. Holder of a valid Attorney/ Legal Practitioner License in India (and Qualified Company Secretary from the Institute of Company Secretaries of India. Excellent command of the English language (written and spoken) At least 8 years of post-qualification experience, with solid training in private practice (dispute resolution and commercial law) and in-house experience (MNC) with demonstrated corporate secretarial experience. Working knowledge in competition and anti-trust laws in India. Ability to prioritize multiple projects under strict deadlines and ability to multi-task and handle highly confidential information; Proficient in Microsoft Office applications (MSWord, MSExcel, MSPowerpoint); Solid technical competencies in general corporate and commercial law, competition law, contract law, intellectual property law and legal compliance, with excellent drafting skills; Demonstrated enthusiasm and willingness to learn; Diligent and meticulous; Self-starter with strong project management, analytical and organizational skills; Strong verbal and written communication, interpersonal and presentation skills to effectively work with various departments and business units within Brenntag; Knowledge of general corporate formalities and corporate secretary requirements across Asia-Pacific region; Commitment to high ethical standards with superb business acumen.
