Role Overview:
We are seeking an accomplished and proactive Company Secretary (CS) to lead the corporate compliance and governance function across our diversified group, which comprises 100+ entities, including public and private companies, NBFCs, LLPs, and partnership firms.
This is a strategic leadership role, ideal for a candidate who thrives in a complex, fast-paced environment and has a strong command of legal, regulatory, and corporate governance frameworks. The ideal candidate will take ownership of all secretarial and compliance matters, support key corporate initiatives, and play a crucial role in restructuring, mergers, acquisitions, and other transformational activities within the group.
Key Responsibilities:
- Corporate Compliance Leadership: Ensure end-to-end compliance with the Companies Act, 2013, FEMA, LLP regulations, and other applicable laws across all group entities.
- Governance Management: Organize, conduct, and document Board Meetings, Committee Meetings, and General Meetings across the group, including drafting of agendas, minutes, and resolutions.
- Statutory Records & Filings: Maintain statutory registers and ensure accurate and timely filing of ROC returns, regulatory submissions, and other legal documentation.
- Equity & Transactional Support: Manage and oversee share-related matters such as buybacks, rights issues, dividend declarations, share transfers, mergers, demergers, and acquisitions.
- LLP & Non-Corporate Entity Compliance: Ensure proper compliance and governance for LLPs and partnership firms, including handling necessary filings and record-keeping.
- Restructuring & Strategic Support: Assist senior management in corporate restructuring, mergers, acquisitions, and winding-up processes, ensuring legal due diligence and regulatory approvals.
- Policy & Advisory Role: Serve as a key advisor on corporate governance, legal risk, and regulatory developments, supporting decision-making across business verticals.
- Secretarial Audits: Coordinate and ensure completion of secretarial audits and internal compliance reviews in accordance with statutory requirements.
Qualifications & Requirements:
- Qualified Company Secretary (ACS) and member of the Institute of Company Secretaries of India (ICSI).
- 56 years of strong post-qualification experience, preferably in managing group-level secretarial functions for diverse entities.
- In-depth knowledge of Companies Act, FEMA, SEBI regulations, LLP Act, and other applicable corporate laws.
- Demonstrated experience in handling M&A transactions, corporate restructuring, due diligence, and compliance for financial entities (e.g., NBFCs).
- Exceptional communication, interpersonal, and stakeholder management skills, with a keen eye for detail and a high level of integrity.
