Key Responsibilities:
1. Corporate Governance:
- Ensure compliance with corporate laws, regulations, and governance standards.- Advise the board of directors on their responsibilities, corporate governance matters, and regulatory changes.- Maintain high standards of corporate governance to uphold the company’s reputation.
1. Board Support:
- Organize and attend board meetings, committee meetings, and annual general meetings (AGMs).- Prepare and distribute agendas, minutes, resolutions, and other meeting documentation.- Maintain statutory records such as registers of members, directors, and secretaries.
1. Compliance Management:
- File statutory returns and documents with the Registrar of Companies and other regulatory bodies.- Monitor compliance with industry-specific regulations and standards.- Liaise with legal counsel, regulators, and auditors to ensure compliance.
1. Legal Advisory:
- Provide guidance on legal and contractual matters.- Assist in the drafting, review, and negotiation of contracts, agreements, and other legal documents.- Manage corporate litigation and ensure proper legal documentation.
1. Risk Management:
- Identify and mitigate legal and regulatory risks affecting the business.- Implement and manage compliance frameworks and risk mitigation strategies.
1. Stakeholder Engagement:
- Act as a key point of contact between the board, shareholders, and external stakeholders.- Handle shareholder queries and manage communication regarding dividends, share transfers, and other corporate actions.
Qualifications and Skills:
- Education: Bachelor’s degree in Law, Business Administration, or a related field. Professional qualification as a Company Secretary (e.g., ICSI, ICSA).- Experience: Minimum 5 years of experience as a Company Secretary, should be from listed comapany- Knowledge: In-depth understanding of corporate governance, company law, and relevant industry regulations.- Skills:- Strong organizational and multitasking abilities.- Excellent communication and interpersonal skills.- Attention to detail and a high level of integrity.- Proficiency in using corporate governance and compliance software tools.
