Lead - Company Law & Regulatory Compliance lead and ensure comprehensive compliance with the Companies Act, SEBI regulations, and other corporate governance requirements applicable to a listed entity. The role involves managing regulatory interactions and proceedings before SEBI, SAT, ROC, MCA, and SFIO, while providing strategic legal guidance to the Board and senior management on governance and disclosure matters.Key Areas of Focus:- Companies Act, 2013 and allied corporate laws- SEBI (LODR, Insider Trading, Takeover, etc.) Regulations- SAT proceedings and regulatory litigation- ROC and MCA compliance and filings- Corporate governance framework and board advisory- SFIO and other regulatory investigationsKey Responsibilities:- Ensure full compliance with the Companies Act, SEBI Regulations, and corporate governance standards applicable to listed companies.- Represent and manage matters before SEBI, SAT, ROC, MCA, and SFIO, including drafting responses, submissions, and coordinating with external counsel.- Oversee all statutory filings, disclosures, and returns to ROC/MCA and stock exchanges.- Advise the Board of Directors and Committees on legal and regulatory obligations, including governance best practices and disclosure norms.- Monitor and interpret regulatory developments; assess implications and ensure timely implementation.- Liaise with stock exchanges and regulatory authorities on compliance and governance matters.- Supervise and guide a team of legal professionals and external counsel engaged in company law and securities law matters.- Conduct compliance audits and strengthen internal governance systems to mitigate regulatory risks.Profile Qualification: LL.B. / LL.M. from a reputed Experience: 18 to 25 years of post-qualification experience in corporate and securities law, preferably in a listed entity or large corporate legal Regulatory Expertise: In-depth experience with SEBI, SAT, ROC, MCA, and SFIO proceedings and compliance frameworks.- Governance & Compliance: Proven track record in advising on board governance, disclosures, and listed company Strong legal drafting, analytical, and advocacy skills- Excellent stakeholder management and communication abilities- Leadership experience in managing legal and compliance teams- Strategic orientation with high ethical and governance standards (ref:iimjobs.com)
