Legal Compliance Manager
Job Description:
Required Skill sets ( including the qualitative skills):
- Preparation of notices, agenda, notes on agenda, backup documents, minutes, registers.
- Convening board & general meeting.
- Filing of applicable forms with RoC.
- Filing of applicable forms, returns with RBI w.
- Ensuring compliance of applicable law concerning the company specifically but not limited to Sch 8 of the SHA.
- Submitting monthly compliance report on status of statutory compliances, compliance of shareholders agreement, lending documents, Legal contracts, status of legal documents, compliance of SOPs.
- Responsible for monthly/quarterly/annual and event-based reporting to the investor in time bound manner.
- Keeping track of actions discussed during board meeting and following up with all concerned.
- Seeking waiver/consent/NOC from the investor/lender.
- Responsible for ensuring SOPs/policies are in place.
- Confirming applicable SOPs/policies are followed.
- Setting up compliance management system.
- Co-ordinating with RoC, RBI, NSDL, DP etc.
- Co-ordinating with FC, Legal Consultants, Internal Auditor, Statutory auditor, promoters, directors, investors.
- Leading Legal Due Diligence including setting up of data room etc.
- Assisting in filings in relation to applicable employment and labour laws with the relevant Governmental Authorities.
- Ensuring compliance of Company's obligations under shareholder agreements.
- Drafting of investor consents, letters, intimations, reports as may be required under the shareholder agreements.
- Review of any commercial arrangements, agreements, financing agreements, MOUs, term sheets or any other documentation that the company may enter into in its course of Business.
- Ensuring Due Compliance with the provisions of Franchisee Agreements by Franchisees.
Required Skill sets ( including the qualitative skills):
- Knowledge of Companies Act and other laws.
- Candidate must be interested in research and analysis of legal compliances under various corporate laws.
- Must possess good knowledge and understanding of corporate laws like Companies Act, 2013 and its rules, various SEBI regulations, FEMA etc.
- Must be capable of keeping track of changing laws.
- Have good communication and interpersonal skills.
- Must be good in drafting and working on excels.
- Must be enthusiastic and self-motivated.
- Have basic computer skills.
