Role Overview

We are seeking an experienced and detail-oriented Company Secretary to ensure compliance with all legal, regulatory, and statutory requirements. The role involves managing corporate governance practices, maintaining company records, organizing board meetings, and acting as a vital link between stakeholders and the board of directors.

Key Responsibilities (KRAs)

- Ensure compliance with statutory and regulatory requirements under Companies Act and other applicable laws.

- Draft, review, and maintain statutory registers, records, and company documentation.

- Organize, prepare agendas, and draft minutes for Board Meetings, Annual General Meetings, and Committee Meetings.

- Advise management and the board on corporate governance matters and regulatory changes.

- File necessary returns, forms, and documents with MCA, SEBI, ROC, RBI, or other regulatory authorities.

- Act as the point of contact between regulators, auditors, stakeholders, and legal advisors.

- Manage secretarial audits, due diligence, and compliance reporting.

- Provide strategic support to leadership in decision-making with respect to governance and risk management.

- Safeguard company interests by ensuring transparency and accountability in compliance matters.

- Assist in drafting corporate policies, contracts, and legal documents.

Required Skillsets

- Strong knowledge of Companies Act, SEBI regulations, FEMA, and corporate governance practices.

- Proficiency in handling board processes, drafting minutes, and managing secretarial records.

- Excellent knowledge of compliance filings with MCA, ROC, SEBI, RBI, and other statutory authorities.

- Strong analytical and problem-solving skills for handling complex governance and compliance issues.

- Exceptional communication and interpersonal skills to liaise effectively with directors, regulators, and stakeholders.

- Proficiency in MS Office Suite and compliance management tools.

- Ability to multitask, work under pressure, and deliver within deadlines.

- High ethical standards and attention to Master's/Bachelors degree in Law, Business Administration, or related field.

- Membership of the Institute of Company Secretaries of India (ICSI) with valid membership number.

- 4-8 years of relevant professional experience in corporate secretarial roles.
