Job Summary
The Company Secretary will be responsible for overseeing corporate governance, ensuring compliance with legal and regulatory requirements, and providing strategic advice to the Board of Directors. The ideal candidate will possess in-depth knowledge of corporate laws and be able to manage all aspects of company secretarial duties with integrity and efficiency.
Key Responsibilities
- Governance and Compliance:
Ensure the company complies with its statutory obligations under relevant laws and regulations.
Maintain and update statutory registers and records.
Manage the timely filing of statutory documents with regulatory authorities.
Monitor changes in relevant legislation and regulatory environments and take appropriate action.
- Board Support:
Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
Take and distribute minutes, follow up on actions, and ensure decisions made at board and committee meetings are communicated to relevant stakeholders.
Provide advice on corporate governance matters to the Board of Directors.
- Communication:
Act as the main point of contact for the Board, management, shareholders, and regulatory bodies.
Manage shareholder relations, including communication and handling of shareholder queries and concerns.
- Strategic Advisory:
Advise the Board and senior management on legal, regulatory, and governance matters.
Assist in the development and implementation of corporate strategies and policies.
Identify and manage potential legal and governance risks.
- Documentation and Record Keeping:
Forming of New Companies, Subsidiary, overseas offices etc. and associated documentation.
Ensure proper maintenance and storage of corporate documents and records.
Oversee the preparation and dissemination of the company’s annual report, financial statements, and other disclosure documents.
Manage the execution and documentation of legal agreements and contracts.
- Ethical Standards:
Promote ethical standards and ensure the company operates within the law and regulatory frameworks.
Develop and oversee the implementation of policies related to corporate ethics and compliance.
Qualifications and Experience:
- A qualified Company Secretary with membership of the Institute of Company Secretaries of India.
- Minimum of 1-3 years of experience in a similar role within a public limited company.
- Comprehensive knowledge of corporate governance, company law, and regulatory requirements.
- Strong organizational and multitasking abilities, with attention to detail.
- Excellent communication and interpersonal skills.
- Ability to work effectively with board members, senior management, and external stakeholders.
- High level of integrity and professional ethics.
Preferred Skills:
Experience with Private Public Limited Companies.
Experience in working with companies with turnover of Rs. 300 crores or more.
Awareness related to provisions applicable on Public Limited Companies.
