Roles and Responsibilities
- Contract Drafting and Reviewing - Draft and review APAC Customer agreements including but not limited to Master Service Agreements (MSAs), Statements of Work (SOWs), Work Orders (WOs), Purchase Orders (POs), Non-Disclosure Agreements (NDAs), and Requests for Proposals (RFPs) etc.
- Contract Lifecycle Management - Manage the entire contract lifecycle (including in the CLM Too), creation of drafts, modifications, amendments, and renewals of existing executed contracts etc. in the tool. Develop customer contract compliance checklists & other business requirement checklist, as needed.
- Advisory Support - Provide support to Microland Legal Head, APAC Legal Head and head of the APAC Geo, in advising on contractual rights, obligations, legal risks, and business terms associated with various executed and deals in pipeline.
- Contractual Compliance - Follow and adhere to internal company legal processes and other relevant legal procedures of the Microland Legal Department
- Audit Support - Assist during customer audits, ensuring all internal legal process, mandates, contractual obligations are met and documented.
- Regulatory Awareness - Stay current on legal and regulatory updates affecting APAC customer contracts and agreements to ensure compliance and plan to mitigate risks.
- IT Services Understanding - Develop a clear understanding of the different IT services offered by the company. Demonstrate a willingness to learn about relevant technologies and operations to effectively evaluate legal risks during the contract lifecycle.
- Negotiation Skills - Able to handle internal and external customer calls for negotiation purposes, as preferred with minimum supervision.
Pre-requisites and Skills needed for the role
- LL.B. (preferred) from premier law school.
- Minimum of 2 to 4 years post qualification experience handling customer contracts (preferred under IT Services)
- Flexible, well-organized and the ability to work in a fast-paced internet and technology driven environment.
- Ability and desire to work independently and with less oversight.
- Excellent written and verbal communication skills.
- Good negotiation skills to negotiate and close contracts with customers. Clear understanding of legal concepts/risks under Outsourcing Contracts (i.e., indemnity, liability, IPR, data protection, etc.).
- Good communication skills to interact with all internal (sales, delivery, finance, HR, Risk and Compliance etc.) as well as external stakeholders on a day-to-day basis for contracts discussions and closure(s);
- Flexibility of working in flexible timings to support business meetings/closure of contracts.
- Good team player and keen to learn and take initiatives.
- Working from the office 5 days a week (hybrid working permitted as per Company Policy & Manager discretion).
