Job Description:
- We are seeking a highly skilled and experienced Company Secretary to join our dynamic team.
- The ideal candidate will have 7-10 years of hands-on experience in managing Employee Stock Ownership Plans (ESOP), Initial Public Offerings (IPO), and hold a Certificate of Practice (COP).
- The Company Secretary will play a pivotal role in ensuring our company adheres to legal standards and in-house policies, providing sound corporate governance and secretarial services to the organization.
Key Responsibilities:
Corporate Governance:
- Ensure compliance with statutory and regulatory requirements.
- Advise the Board of Directors and senior management on corporate governance matters.
- Maintain and update corporate records, including registers of members, directors, and secretaries.
ESOP and IPO Management:
- Design, implement, and administer Employee Stock Ownership Plans (ESOP).
- Liaise with HR and finance departments to ensure accurate tracking and reporting of ESOP allocations.
- Provide guidance on ESOP regulatory compliance and best practices.
- Lead the company through the Initial Public Offering (IPO) process.
- Collaborate with external advisors, investment banks, and regulatory bodies to ensure a smooth IPO.
- Prepare and manage documentation required for the IPO, including prospectuses and registration statements.
Secretarial Duties:
- Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
- Take minutes, draft resolutions, and lodge required forms and annual returns with regulatory authorities.
- Ensure timely filing of documents with the Registrar of Companies and other relevant bodies.
Legal Compliance:
- Monitor changes in relevant legislation and regulatory environment.
- Ensure the company's policies comply with legal and statutory requirements.
- Provide legal and administrative support in contracts, agreements, and other legal documents.
Certificate of Practice (COP):
- Utilize the Certificate of Practice (COP) to offer professional services and advice.
- Ensure adherence to the standards and ethical guidelines set forth by the regulatory bodies
