As part of our continued growth and commitment to governance, we are seeking an experienced Company Secretary to ensure statutory compliance, support board activities, and liaise with regulatory authorities.Key & Regulatory Compliance- Ensure compliance with Companies Act, 2013, SEBI, FEMA, RBI, and other statutory requirements.- Handle company filings, statutory registers, returns, and records in a timely manner.- Ensure compliance with RBI guidelines related to foreign exchange and banking transactions.Corporate Governance & Board Support- Organize and manage Board Meetings, Committee Meetings, and General Meetings, including preparation of agenda, notices, and minutes.- Advise the Board on good governance practices, corporate laws, and compliance risks.- Draft and review legal documents, agreements, and resolutions.Banking & External Coordination- Coordinate with banks, auditors, regulatory bodies, and government authorities for company-related matters.- Support in securing approvals, maintaining loan documentation, and managing bank compliances.Advisory & Reporting- Provide strategic guidance on compliance, governance, and risk management.- Prepare compliance reports and present them to the senior management and board.- Ensure prompt reporting of compliance issues and suggest corrective measures.Candidate Profile- Qualification: Qualified Company Secretary (CS) is mandatory.- Experience: Minimum 10 years in a manufacturing or corporate environment, with strong exposure to Company Law and RBI Compliances.- Strong interpersonal, communication, and stakeholder management skills.- Ability to handle multiple compliance requirements independently.
