Role Description

This is a full-time on-site role for a Company Secretary at Ascend Capital in Jaipur. The Company Secretary will be responsible for day-to-day administrative tasks, maintaining statutory registers, ensuring compliance with regulatory requirements, organizing board meetings, and managing communication with stakeholders.


Responsibilities

  • Coordinating with Board Members and Shareholders, planning and arranging Board meetings, and ensuring pre- and post-meeting compliances such as the preparation of agendas, minutes, and their timely circulation.
  • Filing forms with the ROC and RBI, and keeping regulatory compliance up-to-date.
  • Ensuring regular and timely filing and proper maintenance of all records and documents related to meetings, including agendas, meeting notices, resolutions, attendance sheets, minutes books, and required registers.
  • Demonstrating strong skills in drafting and reviewing contracts, agreements, deeds, documents, NDAs, Share Purchase Agreements, Joint Venture (JV) agreements, etc.
  • Adapting to changes when required and focusing on improving internal processes.
  • Assisting the department/team in developing processes, practices, and controls critical for the smooth operation of the department.
  • Ability to work effectively in a fast-paced environment
