Role Overview:We are seeking a Legal & Compliance professional to oversee the legal functions of Avener AIF (SEBI Registered Cat III), Avener Green and Avener Capital. The key responsibilities are listed below: Key & Documentation:- Draft, review, and negotiate contracts, engagement letters, term sheets, NDAs, and other commercial agreements.- Ensure legal accuracy, risk mitigation, and protection of business interests in all contract documentation.- Develop and maintain contract templates and documentation standards.AIF Compliance (SEBI):- Ensure compliance with AIF regulations and reporting requirements with SEBI.- Assist in preparation & submission of regulatory filings, investor communications, and fund governance documentation.- Maintain the compliance tracker and keep updated records of legal & regulatory matters related to AIF operations.- Liaise with auditors, trustees, fund administrators and regulators where required.Renewable Energy Legal Coordination:- Work closely with internal business teams and external counsel for renewable energy project contracts and due diligence.- Review land due diligence reports, PPAs, EPC contracts, O&M agreements, and financing documents wherever applicable.- Assist in regulatory interpretation and compliance related to renewable energy transactions.Governance & Risk Management:- Ensure the company's legal policies and frameworks are up-to-date and compliant with statutory requirements.- Support internal audit, corporate secretarial and governance-related activities.- Maintain organised records of legal documents, compliance filings, and contract database.Key Skills & Competencies:- Strong understanding of SEBI AIF Regulations and compliance framework.- Experience reviewing legal agreements and drafting commercial contracts.- Familiarity with renewable energy sector legal documentation and due diligence (preferred).- Excellent legal research, documentation, and communication skills.- Ability to work with cross-functional teams and external legal counsel.- Attention to detail with strong analytical and risk assessment capability.Qualification & Experience:- LLB/LLM from a reputed college.- 3-7 years of experience in a legal & compliance role, preferably in:- Investment funds / AIFs / NBFCs / Financial services OR- Renewable energy/ infrastructure advisory or development firms- Experience in liaising with SEBI/regulators will be an advantage.
