Principal AssociateWe are seeking a highly capableSenior Principal Associatewith strong expertise ininvestment advisory, venture capital, private equity, and startup transactions. The ideal candidate should be able toindependently lead complex mandates, manage client relationships at a senior level, and mentor a growing team while working directly withfounders, funds, and large corporates.Roles & Responsibilities Lead and advise onVC/PE investments, M&A transactions, secondary deals, exits, and fund structuring. Driveend-to-end deal execution, including negotiations and closures. Draft, review, and negotiateSHA/SSA, investment agreements, term sheets, ESOP plans, and associated transaction documents. Work closely withfounders, investors, and board memberson governance, cap-table matters, and compliance. Overseetransactional due diligenceand ensure adherence to regulatory frameworks includingFEMA, RBI, SEBI, and Companies Act. Mentor and managejunior associates, ensuring quality delivery across all matters. Supportbusiness development, client retention, and internal practice-building initiatives. Desired Candidate Profile LL.B./Law Degreefrom a reputed institution. 6–10 years PQEin investment advisory / corporate transactions. Strong command overventure financing, PE deals, and startup ecosystem transactions. Excellentdrafting, negotiation, commercial understanding, and client-facing capability. Ability tolead teams, manage high-pressure mandates, and deliver with consistency. Preference for candidates seekinglong-term stability, with a mature approach to workload and professional commitments.
