E. Job Description:
- We are seeking a highly motivated and detail-oriented Company Secretary with 0 to 2 years of experience to join our corporate governance team. The ideal candidate will assist in ensuring the company complies with legal, regulatory, and governance requirements while supporting senior management in corporate secretarial functions.
F. Roles and Responsibilities:
- Corporate Governance: Assist in ensuring the company adheres to all statutory and regulatory requirements, maintaining the highest standards of corporate governance.
- Board Meetings & AGM: Organize and manage board meetings, annual general meetings (AGMs), and other shareholder meetings. Prepare agendas, notices, minutes, and resolutions.
- Compliance Management: Ensure timely filing of statutory returns, reports, and documents with regulatory bodies like the Ministry of Corporate Affairs (MCA), SEBI, etc.
- Secretarial Documentation: Draft and review board resolutions, compliance certificates, and other legal documents.
- Filing with Regulatory Authorities: File documents and maintain records with the Registrar of Companies (RoC) and other relevant authorities as per statutory requirements.
- Legal and Compliance Advisory: Assist in advising management and the board on compliance with laws, corporate governance practices, and statutory requirements.
- Shareholder Communication: Liaise with shareholders, ensure effective communication, and maintain shareholder records.
- Internal Policies: Support in developing and implementing internal policies and procedures that ensure legal and regulatory compliance.
G. Knowledge and Competencies Required:
- Legal and Compliance Knowledge: Understanding of the Companies Act, 2013, SEBI regulations, and other applicable laws and regulations.
- Corporate Governance: Knowledge of corporate governance practices and procedures.
- Communication Skills: Strong written and verbal communication skills, with the ability to draft legal and corporate documents clearly and professionally.
- Attention to Detail: High level of accuracy and attention to detail in legal documentation and compliance filing.
- Organizational Skills: Excellent organizational skills, with the ability to manage multiple tasks and meet deadlines.
- Ethical and Professional Integrity: Strong commitment to ethical standards, confidentiality, and corporate integrity.
H. Educational Qualifications:
- Company Secretary (CS) – Must have completed the Company Secretary certification from the Institute of Company Secretaries of India (ICSI).
- A law degree or finance background will be an added advantage (optional).
